Section A – General Terms

Introduction

1.1 Please read these Terms of Service carefully. These are Terms of Service of “Eazy Life” brought to you by H&I Technology DMCC. H&I Technology DMCC (www.hni-technology.com ) is the owner and operator of www.eazylife-online.com, Eazy Life Mobile App and all other related products. 

H&I Technology DMCC is a company registered in DMCC, the United Arab Emirates (“UAE”) under license number DMCC-782167 (“we”“our” or “us”). References in these Terms of Service to “you” (or similar) are references to you as an individual or legal entity as the case may be, being a Partner or Consumer.

1.2 By using the Service (as defined below), you agree that you have read and understood the terms in these Terms of Service which are applicable to you. These Terms of Service constitute a legally binding agreement (“Agreement”) between you and Eazy Life (as defined below). The Agreement applies to your use of the Service provided by Eazy Life. If you do not agree to the Terms of Service please do not use or continue using the Platform (as defined below) or the Service.

1.3 We may amend the terms in the Agreement at any time. Such amendments shall be effective once they are posted on http://www.eazylife-online.com or the Application. It is your responsibility to review the Terms of Service regularly. Your continued use of the Service after any such amendments, whether or not reviewed by you, shall constitute your agreement to be bound by such amendments.

1.4 H&I Technology DMCC IS A TECHNOLOGY COMPANY WHICH PROVIDES A PLATFORM FOR CONSUMERS TO OBTAIN OR PROCURE GOODS AND SERVICES. DEPENDING ON THE GOODS OR SERVICES IN QUESTION, THE GOODS OR SERVICES MAY BE SUPPLIED BY H&I TECHNOLOGY OR A PARTNER. WHERE THE GOODS/SERVICES ARE PROVIDED BY A PARTNER, H&I TECHNOLOGY’S ROLE IS MERELY TO LINK THE CONSUMER WITH SUCH PARTNERS. H&I TECHNOLOGY IS NOT RESPONSIBLE FOR THE ACTS AND/OR OMISSIONS OF ANY PARTNER. PARTNERS SHALL BEAR ALL LIABILITY IN RELATION TO SUCH GOODS/SERVICES. PARTNERS ARE NOT, AND SHALL NOT HOLD THEMSELVES OUT TO BE, AN AGENT, EMPLOYEE OR STAFF OF H&I TECHNOLOGY AND THE SOLUTIONS PROVIDED BY PARTNERS SHALL NOT BE DEEMED TO BE PROVIDED BY H&I TECHNOLOGY.

1.5 We reserve the right to introduce new Services and update or withdraw any of the Services, at our sole discretion, and we will not be liable to you for exercising this discretion.

Definitions

Capitalized terms used in these terms and conditions have the meanings assigned to them, and each of the following terms has the meaning assigned to it.

2.1 “Application” means Eazy Life mobile application and any relevant mobile application(s) made available for download by H&I Technology DMCC (or its licensors) on the different App Stores to Consumers and Partners respectively;

2.2 “Consumer” or “User” means any end-user who accesses or uses the Platform to search for and obtain the Solutions;

2.3 “Consumer Charges” or “User Charges” means charges incurred by Consumers for the Solutions obtained through the use of the Service, including any applicable taxes and any other fees or charges that may be due for a particular use of the Service or Solutions;

2.4 “Partner” means the independent third parties (who are not Us) who provide the relevant Solutions to Consumers through the Service, including driver-partners, delivery-partners, merchant-partners and any other relevant goods and services providers; 

2.5 “Personal Data” is any information which can be used to identify you or from which you are identifiable. This includes but is not limited to your name, nationality, telephone number, bank and credit card details, personal interests, email address, your image, government-issued identification numbers, biometric data, race, date of birth, marital status, religion, health information, vehicle and insurance information;

2.6 “Platform” means the Application, Software and any other platform, portal or website which H&I Technology DMCC owns, operates or otherwise makes available to Consumers and/or Partners for the purposes of or in connection with the Service and/or Solutions;

2.7 “Platform Content” means any content as made available on the Platform or any part thereof;

2.8 “Privacy Policy” means our Privacy Policy accessible at: https://www.eazylife-online.com  as amended from time to time;

2.9 “Service” means the linking of Consumers to Partners or other Consumers to facilitate the Solutions;

2.10 “Software” means any software in connection with the Application, Service and/or Solutions which is made available by Us;

2.11 “Solutions” means food and beverages, groceries, services and/or other products and services which are made available to Consumers through the following offerings:

  • EZ Groceries ;
  • EZ Restaurants ;
  • EZ Pharmacies ;
  • EZ Shopping ; 
  • EZ Offers; and
  • Any such other offerings which we may make available from time to time.

2.12 “You” refers to the Partner and/or Consumer as may be applicable.

Representations, Warranties and Undertakings

3.1 By using the Service and/or Platform, you represent, warrant and undertake that:

3.1.1 You have legal capacity to enter into the Agreement and that you are at least eighteen (18) years old. You cannot enter into the Agreement if you are below eighteen (18) years old;

3.1.2 You will provide true, accurate, not misleading, current and complete information as required for the Service and undertake the responsibility to maintain and update your information in a timely manner to keep it true, accurate, not misleading, current and complete at all times during the term of the Agreement. You agree that H&I Technology DMCC may rely on your information as true, accurate, not misleading, current and complete. You acknowledge that if your information is untrue, inaccurate, misleading, not current or incomplete in any respect, H&I Technology DMCC has the right but not the obligation to terminate this Agreement and your use of the Service at any time with or without notice;

3.1.3 You will provide us with whatever proof of identity or any other documents, permits, licenses or approvals which we may reasonably request or require;

3.1.4 You will only use an access point or account which you are authorized by H&I Technology DMCC to use;

3.1.5 You acknowledge and agree that only one (1) account can be registered on one device, except as otherwise permitted by H&I Technology DMCC ;

3.1.6 You will keep your account password or any identification we provide you which allows access to the Service secure and confidential;

3.1.7 You will not authorize others to use your identity or user status, and you may not assign or otherwise transfer your user account to any other person or entity;

3.1.8 You agree to notify us immediately of any unauthorized use of your account or any other breach of security;

3.1.9 When using the Service/Platform, you agree to comply with all laws applicable to you and/or your use of the Service/Platform;

3.1.10 You will only use the Platform and Service for their intended and lawful purposes;

3.1.11 You will not try to interrupt, impair or harm the Service and/or Platform in any way, and shall refrain from: (a) sending spam or otherwise duplicative or unsolicited messages; (b) sending or storing infringing, obscene, threatening, libelous, or otherwise unlawful or tortious material, including but not limited to materials harmful to children or violative of third party privacy rights; (c) sending material containing software viruses, worms, trojan horses or other harmful computer code, files, scripts, agents or programs; (d) interfering with or disrupt the integrity or performance of the Platform or the data contained therein; (e) attempting to gain unauthorized access to the Platform or its related software, systems or networks; (f) impersonating any person or entity or otherwise misrepresent your affiliation with a person or entity; (g) engaging in any conduct that could possibly damage our reputation or amount to being disreputable; (h) circumventing the proper operation of the Platform and network which the Service operates on; and (i) using any manual or automated program or script, including but not limited to web spiders, web crawlers, web robots, web ants, web indexers, bots, viruses or worms, or any program which may make multiple server requests per second, to unduly burden or hinder the operation and/or performance of the Platform, or to circumvent the navigational structure or presentation of the Platform or its content;

3.1.12 You will not attempt to commercially exploit any part of the Platform without our permission. For the avoidance of doubt, you are not permitted to modify or make derivative works based on the Platform, its content or any part thereof in any way, or copy, reproduce, publicly display, distribute or otherwise use or communicate them for any public or commercial purpose save where specifically permitted in writing by H&I Technology DMCC . This includes without limitation, not to: 

(a) create or compile, directly or indirectly, any collection, compilation or other directory from any content displayed on the Platform except for your personal, non-commercial use;

(b) copy any content displayed through the Platform or “mirror” the Platform or any parts thereof on any other server or wireless or internet-based device, including reproducing any third-party product content and reviews, for republication in any format or media; or navigational structure or presentation of the Platform or its content elsewhere;

(c) conduct data mining or scraping activities, unless an exception applies under applicable law; and

(d) disassemble, decompile, reverse engineer, decrypt or attempt to derive and code or extract software from, the Platform or any software or services made available on or through the Platform;

3.1.13 You will not utilize modified devices or applications with the intent of evading detections or facilitating any activities intended to defraud H&I Technology DMCC or to disrupt the natural functions of the Platform;

3.1.14 You will not use the Platform for sending or storing any unlawful material or for fraudulent purposes;

3.1.15 You will not use the Platform to cause nuisance or behave in an inappropriate or disrespectful manner towards H&I Technology DMCC or any third party;

3.1.16 You agree that the Service is provided on a reasonable effort basis;

3.1.17 You agree that your use of the Service will be subject to the H&I Technology DMCC terms and conditions as well as any policies as may be amended from time to time;

3.1.18 You agree to assist H&I Technology DMCC with any internal or external investigations as may be required by H&I Technology DMCC  in complying with any prevailing laws or regulations in place; 

3.1.19 You provide us the phone numbers of H&I Technology DMCC users and other contacts in your mobile phone address book on a regular basis. You confirm that you are authorized to provide us with such numbers to enhance the Service/Platform for your use or such other purpose as we may communicate to you before or at the point of provision;

3.1.20 You are aware that when requesting Solutions by SMS or by using the Service or accessing the Platform, standard telecommunication charges will apply;

3.1.21 You agree that H&I Technology DMCC may, based on its sole discretion, consider an account to be dormant if there has been no transaction made by you on your user account for a period of six (6) months from the last date of transaction and deactivate or restrict access to your user account; and

3.1.22 You agree to assume full responsibility and liability for all loss or damage suffered by yourself, H&I Technology DMCC or any other party as a result of your breach of this Agreement.

If you are a Partner, you further represent, warrant and undertake that:

3.2.1.You possess all the appropriate licenses, approvals, permits, consents, authority and mandatory insurance policies related to or in connection with your provision of the Solution(s) in the jurisdiction in which you use the Service;

3.2.2 If applicable, you own, or have the legal right and authority to operate, and you have all appropriate licenses and approvals in respect of, any vehicle, equipment, premises or any other matter or thing which is involved or used in the course of your provision of the Solution(s);

3.2.3 If applicable, you have a valid policy/ies of liability insurance (in industry-standard coverage amounts) in connection with your provision of the Solution(s);

3.2.4 You shall be solely responsible for any and all claims, judgments and liabilities resulting from any accident, loss or damage including, but not limited to, personal injuries, death, total loss and property damage which is due to or is alleged to be a result of the Solution(s) provided by you;

3.2.5 You shall obey all local laws related to your provision of the Solution(s) and will be solely responsible for any violations of such local laws;

3.2.6 You shall not contact Consumers for purposes other than in connection with the Service;

3.2.7 You shall not reverse look-up, trace or seek to trace any information on any other user of or visitor to the Platform, or any Consumers, including without limitation any user account not owned by you, to its source, or exploit the Platform or any service or information made available or offered by or through the Platform, in any way where the purpose is to reveal any information, including but shall not be limited to personal identification information, other than your own information, as provided for by the Platform;

3.2.8 You are aware that when responding to Consumers, standard telecommunication charges may apply which shall be solely borne by you;

3.2.9 If you are required to and do sign up for an account on behalf of your employer, your employer shall be the owner of the account, and you represent and warrant that you have the authority to bind your employer to the Agreement; 

3.2.10 You agree that you are forbidden from giving out coupons and suggesting any other form of discounts to the Consumers. You are strictly forbidden to use the Service and Platform for other purposes such as but not limited to data mining of H&I Technology DMCC’s information or information related to the Platform or the Service, unless an exception applies under applicable lawA breach hereof constitutes a grave offence and may be treated as industrial espionage or sabotage, and H&I Technology DMCC reserves the right to take such action as may be appropriate or permitted under the law against you, and/or any person, whether natural or artificial, directing or instructing you, in the event you use the Service/Platform other than for the purpose for which it is intended to be used; and

3.2.11 Without prejudice to any other provisions, information which you have submitted to us for your registration as a Partner on the Platform, which may include your personal data as described in the Privacy Notice, may be linked to the account on the Platform or otherwise be temporarily displayed in the course of the Services on the Platform. You hereby give your consent to such use of information for the purposes of the Solutions, and to facilitate your use of the Platform. Your use of the Platform or any part thereof may be monitored by us or a third-party service provider to provide you with information on your business and account as well as better services. You further agree that any personal data you receive via the Platform or otherwise in connection with the Solutions shall only be used for the direct and specific purpose for which you are originally provided the personal data, and such personal data shall be deleted or anonymized once the personal data is no longer required to be retained for the said purpose. For the avoidance of doubt, when you are provided with personal data of a Consumer via the Platform for the purposes of obtaining prior confirmation to amend an order placed, you shall only use the personal data provided for that sole purpose and remove it as soon as you no longer need the data for that purpose.

If you are a Consumer, you further represent, warrant and undertake that:

3.3.1 Your use of the Service and Platform is, unless otherwise allowed by H&I Technology DMCC, for your own sole, personal use or, where permitted, for the use of another person, in which case you shall assume primary responsibility;

3.3.2 Where applicable, you agree to indicate the accurate information (s) when requesting for the Service.

3.3.3 You further acknowledge and agree that if the information is untrue or inaccurate, the Partner is entitled to cancel your service and you may be charged a cancellation fee.

3.3.4 You shall not contact the Partner for purposes other than the Service; and

3.3.5 You shall not intentionally or unintentionally cause or attempt to cause damage to the Partner or any property of the Partner.

Compatibility

Different models or versions of routers, browsers and devices may have firmware or settings that are not compatible with the Platform or part(s) thereof. While we continuously develop the Platform in order to, as far as possible, support all commonly used devices and models in markets and all browsers where the Platform is likely to be accessed from, we do not warrant compatibility of the Platform with specific mobile devices or other hardware.

License Grant and Restrictions

5.1 H&I Technology DMCC and its licensors, where applicable, grant you a revocable, non-exclusive, non- transferable, limited license to use and access the Platform to use the Service, subject to the terms and conditions of this Agreement. All rights not expressly granted to you are reserved by H&I Technology DMCC and its licensors.

5.2 You shall not:

5.2.1 post, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights; or

5.2.2 remove any copyright, trademark or other proprietary rights notices contained on the Platform.

Payment Terms for Partners

6.1.1 H&I Technology DMCC charges fees for your use of the Service (“Service Fee”). The Service Fee is communicated to and accepted by you before you commence provision of the Solution(s). The Service Fees are payable by you immediately and are non-refundable. This no-refund policy shall apply at all times regardless of your decision to terminate your access to the Platform, our decision to terminate or suspend your access to the Platform, disruption caused to the Service whether planned, accidental or intentional, or any reason whatsoever.

6.1.2 YOU ACKNOWLEDGE AND CONFIRM THAT H&I TECHNOLOGY DMCC MAY ADMINISTER AND ACT AS YOUR COLLECTION AGENT TO PAY TO YOU THE TOTAL AMOUNT OF CONSUMER CHARGES DUE TO YOU IN RESPECT OF YOUR PROVISION OF THE SOLUTION.

6.1.3 H&I Technology DMCC retains the right to suspend the processing of any transaction where it reasonably believes that the transaction may be fraudulent, illegal or involves any criminal activity or where you and/or the Consumer have breached any of the Terms in this Agreement. In such an event, you shall not hold H&I Technology DMCC liable for any withholding of, delay in, suspension, forfeiture or cancellation of, any payment(s) to you.

6.1.4 H&I Technology DMCC may, at its sole discretion, make promotional offers with different features and different rates on the Solutions to any of the Consumers whereby these promotional offers shall accordingly be honored by you. H&I Technology DMCC may change the Service Fees at any time at its sole discretion.

6.1.5 If a partial payment is completed by the Consumer as per 6.2.1 below, you irrevocably and unconditionally accept to deduct the partial amount paid by the Consumer from the final amount of the Consumer Charges.

Payment Terms for Consumers:

6.2.1 Consumers are required to make full (unless otherwise specified to be partial) payment of the Consumer Charges for all services offered in the Application by the method selected at the time of booking, which has to be one of the automated payment methods available to you on the Application. Any payment pursuant to such selection is non-refundable and irrevocable.

The Consumer Charges include the cost for the selected item or service tax included and any service fee charged by H&I. 

6.2.2 Automated payment may be made by credit card and or debit card, by H&I Technology DMCC Pay/Wallet or where available by alternative e-Wallets or by Pay Later if available or by such other methods as are made available in the Application. The terms of these non-cash payments made by you through the Application will be governed by these Terms of Service.

6.2.3 If the tipping feature is available, you may have the option to pre-set a default “tip” amount of your choosing when you register for the Service. This will automatically be included in the Consumer Charges after the Solution has been provided and given to the Partner unless you choose to change the amount or remove the tip.

Cancellation Terms for Partners:

7.1.1 Consumers rely on you for delivery or provision of the Solutions. You agree that high and/or frequent cancellation rates or ignoring the Consumers’ bookings will impair the Consumers’ experience and negatively impact your reputation and branding as well as the reputation and branding of H&I Technology DMCC.

7.1.2 If you cancel an order, you will be charged a cancellation fee. Cancellations or ignoring an order may be counted in determining if your access to the Service will be temporarily or permanently restricted.

Cancellation Terms for Consumers

7.2.1 For orders made under EZ Restaurants (food and beverages), and in line with our sustainability efforts to avoid any food waste, you can’t cancel an order once completed. If you still want to cancel the order, you will be charged the full amount of the order with no refund. 

7.2.2 For orders made under EZ Groceries and EZ Pharmacies, you can cancel the order but you will be charged a cancellation fee determined by H&I Technology DMCC at its sole discretion. 

7.2.3 For orders made under EZ Shopping, please review the terms and conditions specific to EZ Shopping.

Rewards Loyalty Programme and Promotions for Consumers

8.1 If indicated as such during your use of the Application, you will automatically be a member of the loyalty programme named “Eazy Life” Loyalty Program owned and operated by H&I Technology DMCC and/or its affiliate companies.

8.2 The Eazy Life Loyalty Program will be governed by these Terms of Service.

8.3 From time to time, H&I Technology DMCC may run marketing and promotional campaigns which offer voucher codes, discounts, subscription plans or other promotional offers to be used on the Platforms (“Vouchers“). Vouchers are subject to validity periods, redemption periods, limits and/or other availability. Vouchers may not be valid when used in conjunction with other promotions, discounts or other vouchers. Additional terms and conditions may apply to Vouchers. Unless otherwise stated, Vouchers can only be used on our Platforms. Vouchers are non-transferable, non-exchangeable, non-refundable and cannot be exchanged for cash. H&I Technology DMCC may withdraw, amend and/or alter any applicable terms and conditions of the promotions or subscriptions at any time without prior notice. H&I Technology DMCC may also void, discontinue or disqualify you from any promotion or subscription plan without prior notice in the event that you breach any part of these Terms of Service.

Ratings

9.1 Consumers and Partners may be allowed to rate each other in respect of Solutions provided when such option is available.

9.2 Every rating will be automatically added and H&I Technology DMCC may analyze all ratings received. H&I Technology DMCC may take all appropriate actions including suspending your use of the Service without any notice or compensation to you.

Complaints

10.1 Any complaints between Partners and Consumers must be taken up with each other directly.

Repair of Damage or Cleaning

11.1 Where applicable, you shall be responsible for the cost of repairing any damage to or necessary cleaning as a result of your misuse of the Service or breach of the Terms of Service herein.

Intellectual Property Ownership

12.1 H&I Technology DMCC and its licensors, where applicable, shall own all right, title and interest, including all related intellectual property rights, in and to the Platform and by extension, the Service and any suggestions, ideas, enhancement requests, feedback, recommendations or other information provided by you or any other party relating to the Service and/or any Solution. The Terms of Service do not constitute a sale agreement and do not convey to you any rights of ownership in or related to the Service and/or the Platform, or any intellectual property rights owned by H&I Technology DMCC and/or its licensors. H&I Technology DMCC’s name, H&I Technology DMCC’s logo, the Service, the Platform and any third parties’ logos and the product names associated with the Software and/or the Platform are trademarks of H&I Technology DMCC or third parties, and no right or license is granted to use them. For the avoidance of doubt, the term “Platform” shall include its respective components, processes and design in its entirety.

Taxes

13.1 You agree that this Agreement is subject to all prevailing statutory taxes, duties, fees, charges and/or costs, however denominated, as may be applicable from time to time. You shall comply with all applicable laws and take all steps required to enable, assist and/or defend H&I Technology DMCC to claim or verify any input tax credit, set off, rebate or refund in respect of any taxes paid or payable in connection with the Service.

13.2 If you are a Partner, you are accountable for paying any tax and statutory contributions due in respect of sums payable to you under or in connection with this Agreement.

Confidentiality

14.1 You shall maintain in confidence all information and data relating to H&I Technology DMCC, its services, products, business affairs, marketing and promotion plans or other operations and its associated companies which are disclosed to you by or on behalf of H&I Technology DMCC (whether orally or in writing and whether before, on or after the date of this Agreement) or which are otherwise directly or indirectly acquired by you from H&I Technology DMCC, or any of its affiliate companies, or created in the course of this Agreement. You shall further ensure that you only use such confidential information in order to use the Service, and shall not without H&I Technology DMCC’s prior written consent, disclose such information to any third party nor use it for any other purpose.

14.2 The above obligations of confidentiality shall not apply to the extent that you can show that the relevant information:

14.2.1 was at the time of receipt already in your possession;

14.2.2 is, or becomes in the future, public knowledge through no fault or omission on your part;

14.2.3 was received from a third party having the right to disclose it; or

14.2.4 is required to be disclosed by law.

14.3 We may now or in the future permit the submission, sharing or publishing of photographs, communications or other content submitted by you and other users including Consumers ("User Submissions"). Other than personally identifiable information, which is covered under the Privacy Policy, any User Submission transmitted or posted to the Application, Solution or Software will be considered non-confidential. In addition, by submitting any User Submission to us, you hereby grant us a perpetual, worldwide, non-exclusive, royalty-free, sub-licensable and transferable license to use, reproduce, distribute, prepare derivative works of, display and perform the User Submission in connection with the Services and H&I TECHNOLOGY DMCC's business.

Data Privacy and Personal Data Protection Policy

15.1 H&I Technology DMCC collects and processes your Personal Data in accordance with its Privacy Policy. The Privacy Policy applies to all of H&I Technology DMCC’s Services and its terms are made a part of this Agreement by this reference.

15.2 Where applicable, you agree and consent to H&I Technology DMCC, its subsidiaries and any of its affiliate companies collecting, using, processing and disclosing Personal Data as further described in our Privacy Policy.

15.3 You acknowledge that H&I Technology DMCC may disclose Personal Data of other individuals to you in the course of your use of H&I Technology DMCC’s Services. You represent and warrant that you will only use such Personal Data for the purpose for which it was disclosed to you by H&I Technology DMCC, and not for any other unauthorized purposes.

Third Party Interactions

16.1 During use of the Service, you may enter into correspondence or transactions with third parties who display or offer their goods and/or service through the Platform. Any such communication or agreement is strictly between you and the applicable third party and H&I Technology DMCC and its licensors shall have no liability or obligation for any such communication or agreement. Neither H&I Technology DMCC nor any of its affiliate companies endorses any applications or sites on the Internet that are linked through the Platform, and in no event shall H&I Technology DMCC, its licensors or its affiliate companies be responsible for any content, products, services or other materials on or available from such sites or third parties. Certain third parties may require your agreement to additional or different terms of use and privacy policies prior to your use of or access to such goods or services, and H&I Technology DMCC is not a party to and disclaims any and all responsibility and/or liability arising from such agreements between you and the third parties. You acknowledge that such additional or different terms of use and privacy policies may apply to your use of such third-party services. H&I Technology DMCC is not liable for any information that you provide to or authorize us to provide to a third party, or for such third party’s collection, use and disclosure of such information.

16.2 H&I Technology DMCC may rely on third party advertising and marketing supplied through the Service and other mechanisms to subsidize the Service and/or to earn additional revenue. If you do not wish to receive such advertising and marketing, please refer to our Privacy Policy for instructions to unsubscribe or update your privacy settings.

16.3 You agree and allow H&I Technology DMCC to compile and release information regarding you and your use of the Service on an anonymous basis as part of a consumer profile or similar report or analysis. You agree that it is your responsibility to take all precautions in all actions and interactions with any third party you interact with through the Service, Platform and/or advertising or marketing material supplied by third parties through the Service.

16.4 We may include hyperlinks to other websites or content on the Internet that are owned or operated by third parties (“Third Party Links“). Any hyperlinks to any other websites or content are not an endorsement or verification of such websites or content and you agree that your access to or use of such linked websites or content is entirely at your own risk.

16.5 You acknowledge that in addition to utilizing data from different external data sources, the Platform may utilize and modify search results from Google Maps services and content, and that by using the Platform, you agree to comply with (a) the Google Maps/ Google Earth Additional Terms of Services; (b) the Google Privacy Notice; and (c) the Google Acceptable Use Policy. You further agree that when using the Platform, you shall not:

16.5.1 copy, modify, create a derivative work of, reverse engineer, decompile, translate, disassemble or otherwise attempt to extract any of the source code of Google Maps;

16.5.2 sublicense, transfer or distribute Google Maps;

16.5.3 sell, resell or otherwise make Google Map available to a third party as part of a commercial offering that does not have material value independent of Google Maps; or

16.5.4 access or use Google Maps in a manner that is illegal or which is likely to result in a circumvention of any fees payable to Google.

16.6 Save for factual, truthful and not misleading references through a plain text link to ww.eazylife-online.com or URL(s) which H&I Technology DMCC may specifically provide you with, any linking to the Platform or any part thereof is strictly prohibited in the absence of prior approval by H&I Technology DMCC. Notwithstanding any other provisions, any website, software, platform or other device that links to the Platform or any part thereof is prohibited from (a) replicating any Platform Content, (b) using a browser or border environment around the Platform Content, (c) implying in any fashion that H&I Technology DMCC is endorsing it or its products or services, (d) misrepresenting any state of facts, including its relationship with H&I Technology DMCC, (e) presenting false information about products or services of H&I Technology DMCC, and (f) using any logo or mark of H&I Technology DMCC, the Application or any other Solution or Platform without prior written approval from H&I Technology DMCC .

Indemnification

17.1 By agreeing to the Terms of Service upon using the Service or accessing the Platform, you agree that you shall indemnify and hold H&I Technology DMCC, its licensors and each such party’s affiliates, officers, directors, members, employees, attorneys and agents harmless from and against any and all claims, costs, damages, losses, liabilities and expenses (including attorneys’ fees and costs and/or regulatory action) arising out of or in connection with: (a) your use of the Service, the Platform and/or any part thereof in your dealings with the Partners or Consumers (as the case may be), third party merchants, providers, partners, advertisers and/or sponsors, or (b) your violation or breach of any of the Terms of Service, any third party terms and conditions or any applicable law or regulation, whether or not referenced herein, or (c) your violation of any rights of any third party, including Partners or Consumers arranged via the Service, or (d) your use or misuse of the Service, the Platform and/or any part thereof, or (e) where applicable, your ownership, use or operation of any property, including your provision of Solutions to Consumers via the Service.

Disclaimer of Warranties

18.1 H&I Technology DMCC makes no representation, warranty or guarantee as to the reliability, timeliness, quality, suitability, availability, accuracy or completeness of the Service, Software, Application or Platform. 

H&I Technology DMCC  does not represent or warrant that (a) the use of the Service, Software, Application or Platform will be secure, uninterrupted, free of errors or other harmful components, or operate in combination with any other hardware, software, system or data, (b) will meet your requirements or expectations, (c) any stored data will be accurate or reliable, or (d) the quality of any products, services, information or other materials purchased or obtained by you through the Platform will meet your requirements or expectations. The Service and the Platform are provided to you strictly on an “as is” basis. All conditions, representations and warranties, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights, are hereby excluded to the extent permissible by law.

18.2 H&I Technology DMCC makes no representation or warranty of any kind whatsoever, express or implied, in respect of Solutions provided by Partners or any Solutions procured through the use of the Service. You agree that you shall bear all risk arising out of your use of the Service and any Solution provided by Partners and shall have no recourse to H&I Technology DMCC in respect of the same.

18.3 Where applicable, H&I Technology DMCC’s role as collection agent is solely mechanical and administrative in nature and H&I Technology DMCC does not owe to you a duty of care or any fiduciary duties.

Internet Delays

THE SERVICE, PLATFORM, APPLICATION AND/OR THE SOFTWARE MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS INCLUDING THE DEVICE USED BY YOU OR THE PARTNER BEING FAULTY, NOT CONNECTED, OUT OF RANGE, SWITCHED OFF OR NOT FUNCTIONING. H&I TECHNOLOGY DMCC IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, DAMAGES OR LOSSES RESULTING FROM SUCH PROBLEMS.

Limitation of Liability

20.1 UNLESS OTHERWISE STATED, AND TO THE FULLEST EXTENT ALLOWED BY LAW, ANY CLAIMS AGAINST H&I TECHNOLOGY DMCC BY YOU SHALL BE LIMITED TO THE AGGREGATE AMOUNT OF ALL AMOUNTS ACTUALLY PAID BY AND/OR DUE FROM YOU IN UTILISING THE SERVICE DURING THE EVENT GIVING RISE TO SUCH CLAIMS. H&I TECHNOLOGY DMCC  AND/OR ITS LICENSORS SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE OR INJURY WHICH MAY BE INCURRED BY OR CAUSED TO YOU OR TO ANY PERSON FOR WHOM YOU HAVE BOOKED THE SERVICE OR SOLUTION, INCLUDING BUT NOT LIMITED TO:

20.1.1 LOSS, DAMAGE OR INJURY ARISING OUT OF, OR IN ANY WAY CONNECTED WITH THE SERVICE, THE PLATFORM, APPLICATION AND/OR THE SOFTWARE;

20.1.2 THE USE OR INABILITY TO USE THE SERVICE, THE PLATFORM, APPLICATION AND/OR THE SOFTWARE;

20.1.3 ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS, ACCURACY OR EXISTENCE OF ANY ADVERTISING; OR

20.1.4 AS A RESULT OF ANY RELATIONSHIP OR TRANSACTION BETWEEN YOU AND ANY CONSUMER, PARTNER, MERCHANT, ADVERTISER OR SPONSOR WHOSE ADVERTISING APPEARS ON THE PLATFORM OR IS REFERRED TO BY THE SERVICE AND/OR THE PLATFORM, EVEN IF H&I TECHNOLOGY DMCC AND/OR ITS LICENSORS HAVE BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

20.2 H&I TECHNOLOGY DMCC DOES NOT WARRANT OR REPRESENT THAT IT ASSESSES OR MONITORS THE SUITABILITY, LEGALITY, ABILITY, MOVEMENT OR LOCATION OF ANY CONSUMERS OR PARTNERS INCLUDING MERCHANTS, ADVERTISERS AND/OR SPONSORS AND YOU EXPRESSLY WAIVE AND RELEASE H&I TECHNOLOGY DMCC FROM ANY AND ALL LIABILITY, CLAIMS OR DAMAGES ARISING FROM OR IN ANY WAY RELATED TO THE CONSUMERS OR PARTNERS INCLUDING MERCHANTS, ADVERTISERS AND/OR SPONSORS.

20.3 H&I TECHNOLOGY DMCC WILL NOT BE A PARTY TO DISPUTES OR NEGOTIATIONS OF DISPUTES BETWEEN YOU AND CONSUMERS OR PARTNERS INCLUDING MERCHANTS, ADVERTISERS AND/OR SPONSORS. UNLESS YOU ARE A CORPORATE CONSUMER WITH A CURRENT CORPORATE ACCOUNT WITH H&I TECHNOLOGY DMCC, H&I TECHNOLOGY DMCC CANNOT AND WILL NOT PLAY ANY ROLE IN MANAGING PAYMENTS BETWEEN YOU AND THE PARTNERS, INCLUDING MERCHANTS, ADVERTISERS AND/OR SPONSORS. RESPONSIBILITY FOR THE DECISIONS YOU MAKE REGARDING SERVICES AND PRODUCTS OFFERED VIA THE SERVICE AND/OR THE PLATFORM (WITH ALL ITS IMPLICATIONS) RESTS SOLELY WITH AND ON YOU. YOU EXPRESSLY WAIVE AND RELEASE H&I TECHNOLOGY DMCC  FROM ANY AND ALL LIABILITY, CLAIMS, CAUSES OF ACTION, OR DAMAGES ARISING FROM YOUR USE OF THE SERVICE AND/OR THE PLATFORM, OR IN ANY WAY RELATED TO THE THIRD PARTIES INCLUDING MERCHANTS, ADVERTISERS AND/OR SPONSORS INTRODUCED TO YOU BY THE SERVICE AND/OR THE PLATFORM.

20.4 THE QUALITY OF THE SOLUTIONS SCHEDULED THROUGH THE USE OF THE SERVICE IS ENTIRELY THE RESPONSIBILITY OF THE PARTNER WHO ULTIMATELY PROVIDES SUCH SOLUTION TO THE CONSUMER. YOU UNDERSTAND, THEREFORE, THAT BY USING THE SERVICE, YOU MAY BE EXPOSED TO SOLUTIONS THAT ARE POTENTIALLY DANGEROUS, OFFENSIVE, HARMFUL TO MINORS, UNSAFE OR OTHERWISE OBJECTIONABLE, AND THAT YOU USE THE SERVICE AT YOUR OWN RISK.

Notice

21.1 H&I Technology DMCC may give notice through the Platform, electronic mail to your email address in the records of H&I Technology DMCC, or by written communication sent by registered mail or pre-paid post to your address in the records of H&I Technology DMCC. Such notice shall be deemed to have been given upon the expiration of 48 hours after mailing or posting (if sent by registered mail or pre-paid post) or 1 hour after sending (if sent by email). You may give notice to H&I Technology DMCC (such notice shall be deemed given when received by H&I Technology DMCC by letter sent by courier or registered mail to H&I Technology DMCC using the contact details as provided in the Platform.

Assignment

22.1 Unless otherwise stated herein, these Terms of Service as modified from time to time may not be assigned by you without the prior written approval of H&I Technology DMCC but may be assigned without your consent by H&I Technology DMCC. Any purported assignment by you in violation of this section shall be void.

Dispute Resolution

23.1 These Terms of Service shall be governed by United Arab Emirates law, without regard to the choice or conflicts of law provisions of any jurisdiction.

23.2 Any disputes, actions, claims or causes of action arising out of or in connection with these Terms of Service (“Disputes“) or the Service shall be referred exclusively to the Dubai Courts.

Relationship

24.1 Nothing contained in these Terms of Service shall be construed as creating any employment, agency, partnership, or other form of joint enterprise with H&I Technology DMCC.

Severability

25.1 If any provision of the Terms of Service is held to be invalid or unenforceable, the legality, validity and enforceability of the remaining provisions shall not be affected or impaired.

No Waiver

26.1 The failure of H&I Technology DMCC to enforce any right or provision in the Terms of Service shall not constitute a waiver of such right or provision.

Entire Agreement

27.1 This Agreement comprises the entire agreement between you and H&I Technology DMCC in relation to the matters stated herein and supersedes any prior or contemporaneous negotiations or discussions, save where mutually agreed otherwise. For the avoidance of doubt, where you have entered into a separate written agreement with H&I Technology DMCC  which incorporates a reference to these Terms of Service, these Terms of Service shall be applicable in addition to the said written agreement. In the event there are inconsistencies between these Terms of Service and the separate written agreement, you agree to work with H&I Technology DMCC in good faith to resolve the conflicts or inconsistencies. Certain services made available on the Platform may be subject to additional terms and conditions, which will be communicated to you.

Suspension and Termination; Modification of Platform Content

28.1 You agree that we may do any of the following, at any time, without notice:

(i) modify, suspend or terminate operation of or access to the Platform, or any portion of the Platform (including access to your account and/or the availability of any products or services), for any reason;

(ii) modify or change any applicable policies or terms; and

(iii) interrupt the operation of the Platform or any portion of the Platform (including access to your account and/or the availability of any products or services), as necessary to perform routine or non-routine maintenance, error correction, or other changes.

We shall not be required to compensate you for any modification, suspension or termination.

28.2 Without prejudice to any other provisions, we may vary, modify or remove Platform Content without notice (including without limitation information relating to the availability of a product or service, product or service descriptions, pricing, promotions, offers, product shipping charges and transit time). In the event any Platform Content contains any typographical errors, inaccuracies, omissions or otherwise violates H&I Technology DMCC  Policies, we reserve the right to (but shall not be obliged to, save to the extent where mandated by applicable laws) carry out any such measures as H&I Technology DMCC deems appropriate (collectively, “Rectification Measure”) including without limitation (i) correcting the said errors, inaccuracies or omissions, (ii) changing or updating information; and/or (iii) where applicable, canceling the affected orders at any time without prior notice (including without limitation after an order has been submitted).

No Third Party Rights

29.1 Except for the parties who are indemnified pursuant to the indemnification provisions set out herein, this Agreement does not give rights to any third parties who are not party to this Agreement.

Merchants Additional Specific Terms of Use

As a Merchant, in addition to provisions applicable to Partners in general and other terms or contracts which you have entered into with H&I Technology DMCC, you are subject to the additional terms below.

Creation and Monitoring of Marketing Activities

You may be able to create a campaign, participate in promotion or place an order for advertisement(s) on the Platform PROVIDED ALWAYS THAT you agree to bear any and all costs or expenses which may arise in connection with the campaign, promotion and/or advertisement (“Marketing Activity (ies)”). 

In creating or otherwise indicating consent to participate in a Marketing Activity, you may be required to indicate information such as the type of Marketing Activity, budget for the Marketing Activity and/or the proposed duration for the Marketing Activity. The types of Marketing Activities which you may choose from the Application may be varied from time to time at H&I Technology DMCC’s sole discretion, and where provided, suggested or offered, you agree and acknowledge that they are made available on an ‘as-is’ basis.

By creating or participating in any Marketing Activities, you accept the following additional general conditions:

(a) Any information submitted through your account to us (whether via our Application or otherwise), including without limitation the submission of your consent to participate in a Marketing Activity and acceptance of the applicable terms, shall be deemed to have been submitted by you, regardless of whether they are submitted on your behalf by your employee or other individuals. You are solely responsible to ensure that only authorized individuals have access to your account.

(b) Any information you input into the Platform where required or otherwise provided to us must be complete, truthful, accurate and not misleading.

(c) Your intention to create or otherwise indicate consent to participate in a Marketing Activity must be genuine and must not be conducted in a manner which may be misleading to the Consumers. You shall indemnify us in the event where we incur any losses or damages arising from or in connection with the Marketing Activity.

(d) Depending on the type of Marketing Activity elected by you, the way in which we may facilitate the Marketing Activity may differ. You agree that it is your responsibility to review any and all information made available by us to understand how each type of Marketing Activity will be facilitated. If you have any enquiries, you agree that you are responsible to clarify the same with our personnel before creating or otherwise indicating consent to participate in a Marketing Activity. By creating or otherwise indicating consent to participate in a Marketing Activity, you irrevocably agree to the way in which the Marketing Activity will be facilitated.

(e) You shall be responsible to directly handle any complaints or enquiries from Consumers in respect of the Marketing Activity.

(f) In the event where you would like to end, pause or otherwise vary a Marketing Activity (for example, where the discounted item under the Marketing Activity has become out of stock prior to expiry of the said duration, where you would like to cancel the Marketing Activity or vary the budget indicated for the Marketing Activity), you must immediately indicate the same via our Application or otherwise in accordance with the process as may be specified by us. Prior to the completion of the said process, you remain liable to bear any and all costs or expenses incurred in connection with the Marketing Activity and remain responsible to handle any enquiries or complaints from Consumers in respect of or in connection with the Marketing Activity. 

(g) Notwithstanding any provision otherwise and in any event, your creation or indication of consent to participate in a Marketing Activity does not indicate our approval that the Marketing Activity is in accordance with the applicable law. You agree that you are solely and entirely responsible for maintaining the confidentiality of the information submitted to us and to ensure that the Marketing Activity is, and will be conducted, in accordance with the applicable law.

(h) While we do not supervise or monitor the Marketing Activity, we reserve the rights to (but are not obliged to) cancel, take down, suspend or otherwise vary the Marketing Activity as we deem fit, without being liable for any damage or loss whatsoever, including any refund of the fee or cost which you have paid for the purposes of the Marketing Activity.

(i) We may make information available to you relating to the Marketing Activity, and such information is considered as part of the Platform Content and is subject to Clause 29.2 of Section A.

(j) You agree to pay to H&I Technology DMCC any and all costs and expenses in connection with the Marketing Activity. Notwithstanding any other provisions, you authorize H&I Technology DMCC  and its affiliates to directly deduct any amount payable by you to H&I Technology DMCC  or its affiliates, including without limitation the said costs and expenses in connection with the Marketing Activity (“Amount Payable”), from any amount receivable by you as a Partner (including without limitation your balance in the merchant wallet on the Platform) (“Amount Receivable”) prior to crediting the Amount Receivable to the bank account(s) which you have instructed H&I Technology DMCC  or its affiliates to transfer the Amount Receivable to. We reserve the right to change the payment method or otherwise set off the Amount Payable against your Amount Receivable by providing reasonable notification to you, or to issue an invoice for the Amount Payable where we deem appropriate.

(k) You must notify us immediately if your account has been used without your authorization to create or otherwise indicate consent to participate in a Marketing Activity or where any other breach of security has occurred. In such an event, you agree to indemnify us for any losses or damages that we incur as a result of the unauthorized use (including but not limited to bearing the costs or expenses which have been incurred due to the Marketing Activity created or launched using your account). For the avoidance of doubt, we will not be liable for any losses that you incur as a result of someone else using your account.

(l) You agree that any amount payable to you by Consumers for each Goods Order placed pursuant to the Marketing Activity may be rounded in accordance with our internal policies which we may update from time to time.

Submission and Variation of Content

We do not claim ownership of any content or information that you upload on the Platform or otherwise supply us with. Where you upload or provide us with any content that is covered by intellectual property rights (including without limitation photos or videos), you (a) grant us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide, perpetual license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content; and (b) undertake that you have the right to grant us such licence.

We may enable you to vary or amend the content or information submitted by you to us (including without limitation information relating to the menu) or certain content submitted by Consumer(s) in order to facilitate the Solution including without limitation detail(s) of an order placed by a Consumer. You acknowledge that any such content or information may be made available in real time to end consumers via the Platform or otherwise, and undertake that you will (and shall be responsible) to handle any complaints or queries by the Consumer(s) in respect of the said content or information without incurring liability on our part. We may, but are not obliged to, review the content or information submitted or amended by you (via the Platform or otherwise) from time to time, and reserve the rights to remove or require amendments to any part of the content or information submitted by you where we deem necessary. For the avoidance of doubt, you shall at all times, ensure that the content or information submitted are not in contravention with the applicable laws and do not infringe any third party rights. In the event where you amend any content submitted by Consumer(s) such as an order placed by a Consumer, you further agree that by amending such content, (1) you have obtained the prior consent or acceptance from the affected Consumer; and (2) H&I Technology DMCC  is not involved in and will not be responsible for the amendments made by you, though H&I Technology DMCC  reserves the right to (but is not obliged to) carry out Rectification Measure(s) to correct the amendment(s) made or otherwise resolve dispute or complaint arising from or in connection with the amendment(s) made.

Merchant Access to the Platform

Where you are a Merchant, H&I Technology DMCC  may allow you to access, view, retrieve, disclose, manage and/or otherwise use (“Use”) information relating to the Service, Solutions and/or other confidential details of your business or relationship with H&I Technology DMCC (“Business Information”) via a user account(s) on the Platform(s) (“Account(s)”) as well as to enable other person(s), be it a natural or legal person, authorized by you, your personnel via email correspondence or otherwise confirmed in accordance with the provisions of the separate agreement that you have entered into with H&I Technology DMCC  (“Merchant Authorized User(s)”), to Use the same via separate Account(s). In such an event, you agree that: 

(a) You shall ensure that yourself and each Merchant Authorized User accept and comply with any and all terms, guidelines and policies that are applicable to access or use of the Account(s) and the relevant Platform(s), which may be updated from time to time. This includes without limitation the provisions made available herein, which the Merchant Authorized Users shall comply with as if they are ‘you’.  

(b) You are solely responsible to ensure that each Merchant Authorized User has the necessary rights to Use the Business Information; and shall provide H&I Technology DMCC with a written notice at least thirty (30) days prior to the termination or expiry of your relationship with the Merchant Authorized User(s); or where any Use by the Merchant Authorized User(s) shall be terminated or suspended for any reason(s). Without prejudice to any other provisions, you acknowledge that pursuant to operational or technical limitations, H&I Technology DMCC  and/or its affiliate(s) may not be able to terminate or suspend the Merchant Authorized User’s Use in time, in which case, you shall prohibit the Merchant Authorized User(s) from continuing to Use the Account, Business Information, Platform or any part thereof by other means; and H&I Technology DMCC  and its affiliate(s) shall never be held liable in any manner for the same. 

(c) All information that H&I Technology DMCC and its affiliate(s) makes available, including without limitation the Business Information, are on an “as is” basis and H&I Technology DMCC and its affiliate(s) do not give any warranties or representations (express or implied, and whether on their own behalf or that of their respective directors, officers, employees, agents or advisers) with regard to the accuracy, quality, timeliness, reliability or completeness of the same. You are responsible to make your own evaluation of the information. 

(d) You are solely responsible for each Merchant Authorized User’s Account(s) as well as their respective Use of the Business Information, Account(s) and the Platform(s); and H&I Technology DMCC and its affiliates shall not be liable for any losses that you incur as a result of the same. 

(e) H&I Technology DMCC  reserves the right, but is not obliged, to require you to provide information on your relationship with each Merchant Authorized User; and to, at its sole absolute discretion, impose additional conditions for the Use or the Platform(s), such as a requirement that an additional fee be paid for the Use, Platform(s) or any part thereof; or terminate or suspend any Merchant Authorized User’s access to the Account(s) and/or Platform(s). 

Fees and Payments

In consideration of the provision of the Solution and Platform provided by H&I Technology DMCC, including billing, H&I Technology DMCC may charge a service or portal fee, including fees for additional services on the Eazy Portal (the “Fees”) as determined by H&I Technology DMCC from time to time, and agreed to by you, in writing (including electronic mail). You shall pay to H&I Technology DMCC all User Charges and the Fees on the terms set forth below.

All Fees shall be exclusive of Value Added Tax (VAT). If VAT is chargeable on any Fees, you shall pay the VAT amount to H&I Technology DMCC when making payment of the Fees. Fees paid shall be paid free of any deduction for withholding tax (if applicable).

4.2 Non-payment

H&I Technology DMCC  reserves the right to immediately suspend your account and suspend any or all access by all Authorized Users in the event of any unpaid Fees by you. H&I Technology DMCC  further reserves the right to pursue any and all remedies available to it under applicable law, including reporting you to applicable credit reporting agencies, in the event of any unpaid Fees hereunder. Re-establishing your account after full payment of late Fees shall be at H&I Technology DMCC’s sole discretion. All late payments shall bear interest at 2% per month or the maximum allowed by applicable law.

Delivery and Pick-up Terms of Service

Delivery and Pick-up Terms of Service
  1. The Platform allows you to place orders for goods and products (including but not limited to food and beverage) made available for sale on the Platform (“Goods“) from Partners who are merchants or other merchants which at your option when placing the order(s), may be delivered to you by Partners who are delivery-partners or may be made available for self-pick-up (if such self-pick-up option is available) from the respective merchants during the time period as specified in the Platform or otherwise communicated by H&I Technology DMCC . H&I Technology DMCC does not control any of these Partners or any Goods or services provided by them. You understand that any order that you place shall be subject to the product availability and location serviceability on the part of the Partners.
  2. All Goods orders and delivery bookings placed on the Platform (“Goods Order”) are treated as confirmed. You shall not be entitled to cancel a Goods Order after it is confirmed (including any address changes initiated via the app chat or call function with the Partner). If you cancel a Goods Order after it has been confirmed, you remain liable to pay the applicable fees for the Goods Order in full regardless of whether it has been prepared or delivered by the relevant Partner. For the avoidance of doubt, where you have opted to self-pick-up a Goods Order, you will be deemed to have cancelled the Goods Order by not collecting it within the time period specified in the Platform or otherwise communicated by H&I Technology DMCC. Neither H&I Technology DMCC nor the Partners shall be responsible to retain the Goods Order for your collection after the said period has lapsed.
  3. Upon your placement of a Goods Order, the relevant Partner(s) may call you on the telephone or mobile number provided or otherwise contact you to confirm the details of the order, any change in the order (for instance, due to unavailability), the price to be paid or any change thereof and/or the estimated delivery time. For the avoidance of doubt, H&I Technology DMCC  is not involved in and will not be responsible for any such separate arrangement between you and the Partner(s) where such arrangement is not confirmed and recorded on the Platform.
  4. You remain liable to pay the order value in full where (i) cancellation is made by you after the Partner(s) has accepted the order or (ii) you are not present or do not show up at the designated delivery location or the designated self-pick-up location or you are unreachable physically or uncontactable: (a) after 5 minutes from the time that the Partner arrives at the designated delivery location; or (b) within the time period as may be communicated by H&I Technology DMCC , for self-pick-up collection.
  5. H&I Technology DMCC and/or the Partner(s) may not process your Goods Order in the event of any of the following:

(a) you are unavailable on the phone at the time of the call for confirming the order or otherwise uncontactable,

(b) if the requested delivery location falls outside the delivery zone offered in the Application,

(c) there is a lack of information, direction or authorization from you at the time of delivery, or

(d) unavailability of items ordered.

  1. The prices of Goods reflected in the Platform are determined solely by the Partner and are listed for information only.
  2. Prices of Goods as reflected in the Platform may, for reasons such as technical issue, typographical error or outdated product information supplied by the Partner, be incorrectly reflected and in such an event the Partner may cancel your order(s). H&I Technology DMCC shall in no event be liable for any (direct or indirect) loss arising therefrom.
  3. The Partner shall be solely responsible for any warranty in relation to, and quality of, the Goods sold to you.
  4. You are responsible for ensuring that the details entered by you in respect of the Goods Order on the Platform are accurate and complete. H&I Technology DMCC shall not be liable (i) in the event of late delivery or non-delivery of Goods that you order by reason of erroneous delivery details entered by you on the Platform; or (ii) in the event of late or non-collection of the Goods you ordered for self-pick-up by reason of erroneous collection details entered by you on the Platform. You acknowledge that in the ordinary course of delivering the Goods, the Partners may disclose your details to the recipient. H&I Technology DMCC Food and H&I Technology DMCC Mart are not provided as an anonymous service. Therefore, you are solely responsible in determining your choice of the recipient and H&I Technology DMCC shall not be liable or responsible for any (direct or indirect) losses suffered by or caused to you or arising out of or in connection with or by reason of your expectation of anonymity through the use of H&I Technology DMCC Food and/or H&I Technology DMCC Mart.
  5. If you or the intended recipient of the Goods are not at the designated delivery location, the Partner may leave your order unattended on or in front of the premises of the designated delivery location and the Goods shall be deemed to have been delivered. After the delivery of the Goods or collection of the Goods that you ordered for self-pick-up, you shall solely be liable for all loss, damage, contamination, soiling or degradation of the Goods (including but not limited to containers and packaging) whether caused directly or indirectly by you or any person acting on your behalf or otherwise.
  6. Persons placing an order for alcohol from any Partner must be at least eighteen (18) years old. Alcoholic beverages can only be sold and delivered to persons who are at least eighteen (18) years old. By placing an order that includes alcohol, you confirm that you are at least eighteen (18) years old. The Partner will have the right to (A) request to be shown your identity document for age verification purposes; and to (B) refuse to deliver or provide any alcoholic product to any person who at the time of delivery or self-pick-up (i) does not appear to be at least eighteen (18) years old or (ii) cannot prove that he/she is at least eighteen (18) years old or (iii) is, or appears to be, under the influence of either alcohol or drugs at the time of delivery or self-pick-up collection and in such an event you agree that H&I Technology DMCC  and the Partner(s) shall not be liable to make any refund to you for payment already made by you.
  7. If you wish to use or apply any promotion codes or discounts, you must enter the available promotion codes or discounts at the booking checkout stage of the Goods Order. All promotion codes and discounts are subject to their specific terms and conditions, are mutually exclusive and cannot be combined with other promotions, unless otherwise stated. The price payable for the discounted Goods item may be rounded and will be set out on the checkout page for your Goods Order. You agree that we are not obliged to accept late submission of promotion codes and discounts after the checkout process has been completed. We will not be liable for any direct or indirect losses, damages, costs and expenses suffered or incurred as a result of the theft or illegal or fraudulent usage of any promotion codes and discounts. We may take any action against you if you have been found to be using any promotion codes and discounts in an illegal or fraudulent manner, including without limitation, suspending or terminating your user account. As a result of arrangements or agreements between you and the Partner(s) pursuant to Clause 1.1.3 above, you may no longer be eligible for the promotion code(s) or discount(s) for the order placed. In such circumstances, we reserve the right to remove the application of the promotion(s) or discount(s) from the order(s) placed or otherwise carry out the necessary action to correct the promotion(s) or discount(s) which has been incorrectly applied. 

EZ Pharmacies Terms of Service

EZ Pharmacies Terms of Service

H&I Technology DMCC (‘H&I’ or ‘we’) via Eazy Life Mobile Application operates an online platform and related service that connects customers with pharmacies for the purchase and delivery of a range of goods to customers, including without limitation therapeutic goods pursuant to medical scripts (‘Eazy Pharmacies’). 

 

Below are our terms and conditions of use in respect of the EZ Pharmacies Service (‘Terms’). These Terms are to be read in conjunction with the General Terms of Service.

 

Your use of the EZ Pharmacies Service confirms that you agree to be bound by these Terms, and that you are over the age of 18 years.

 

H&I does not stock, sell, offer for sale or distribute medicine(s), medical device(s), healthcare and pharma allied products. The display of medicine/products on the website is only for informative purposes for a User to know availability of certain medicine(s) or product(s) at a particular price from the Merchant Partner carried out at the behest of and information provided by the Merchant Partner(s).

 

To a User, Eazy Pharmacies by Eazy Life is a mobile application that facilitates easy procurement of medicine, medical device, pharmaceutical and healthcare allied products, as may be the requirement, from the Merchant Partner(s) who may be in the vicinity of the User or who may have stock of the requisite medicine or product or who can possibly procure-deliver for the User and to have medicine(s)/product(s) delivered at doorstep of the User based on the User’s prescription.

 

We do not give any advice, diagnose, treat, endorse or recommend any medicine/treatment course /suitability or efficacy of medicine or healthcare product/ preferred doctor-medical practitioner / hospital / clinical laboratory. The information provided on the mobile application is intended for informational purposes only and is not a substitute for professional medical advice or treatment for specific medical/healthcare conditions. Any information obtained from or through this mobile application may be confirmed with your registered medical practitioner prior to any intended use of such information, medicine or healthcare product.

 

The User will have to seek on his own a recognized registered medical practitioner/Doctor’s advice or any other expert’s opinion appropriate according to User’s health condition and requirement. 

 

Procurement of medicine(s), medical device, healthcare product, its intake/use different from the prescription will be solely at the risk of the User and none else will be liable for any situation and/or consequences arising therefrom.

 

There will be no automatic replenishment of medicine(s)/healthcare product(s) and each time it will be the User’s responsibility to make a request through the mobile application to the Merchant Partner and granting reasonable sufficient time for delivery.

 

Any link(s), hyperlink, tag, metatags to other sites that may be displayed or prop up on the mobile application should not mean affiliation or association with that those third party website(s) and membership with this mobile application does not confer access to other website(s)/mobile applications.

 

Details about the Merchant Partner are clearly displayed and known to the User at the time of the User’s requirement of medicine, medical device, pharmaceutical and healthcare allied products.

 

All prices displayed are in AED and include VAT unless expressly stated otherwise. We take care to ensure that all pricing information is accurate but occasionally there may be an error. In the event that an error has occurred and the price charged is too high, we will identify all those that have overpaid and refund the difference.

 

The listing of medicines and other pharmaceutical products on EZ Pharmacies is merely an ‘invitation to an offer for sale’ and not an ‘offer for sale’. The placement of an order by You shall constitute an offer by You to enter into an agreement with the Merchant Partner governed by these Terms and any additional terms and conditions specified by the Merchant Partner.

EZ PHARMACIES SERVICE DESCRIPTION AND ORDERS

1.1 H&I makes available, via EZ Pharmacies, an online platform or marketplace through which customers can purchase a range of products, which are then delivered to customers’ designated address or collected by customers. EZ Pharmacies is not a pharmacy. Our responsibilities are limited to facilitating the availability of Eazy Life and EZ Pharmacies Service.

 

1.2 A customer wishing to use the EZ Pharmacies Service must first create an Eazy Life Account.

 

1.3 H&I will from time to time display products of Merchant Partners on EZ Pharmacies Service.

1.4 To create an Order with a Merchant Partner using the EZ Pharmacies Service, the following process shall apply:

 

(a) The customer makes an offer to buy certain products from a Merchant Partner through the EZ Pharmacies Service;

(b) If the Order is for products requiring a prescription (“Prescription Products”), the Member provides to the Merchant Partner via EZ Pharmacies Service a copy of the prescription;

(c) The Customer completes the Order, selecting the specific details of the product (quantity for example) and the delivery mode (Delivery at designated address of self-pick-up) and then completes the payment. It is the responsibility of the customer to ensure that Prescription Products are requested as per the prescription and that all information provided are true, valid and accurate;

(d) The Order is received by the Merchant Partner and the Merchant Partner confirms whether the products can be supplied as per the Order on the terms and conditions described in the Order;

(e) Where the Merchant Partner confirms through the EZ Pharmacies Service that an Order is able to be supplied and is accepted, a conditional supply contract is formed and the Merchant Partner gets the Order ready for self-pick-up by the customer or for delivery to the customer.

(f) The Merchant Partner reserves the right in its absolute discretion to accept or reject an Order. The Merchant Partner may for Prescription Products require that the prescription is provided in a hard copy and therefore the Order to be collected by self-pick-up and not by delivery. If any product is rejected by the Merchant Partner, the customer will be refunded for that specific product with a refund fee deducted from the refund amount.

 

Delivery estimates are based on pharmacy business hours. This is subject to our confirmation of your Order and is a guideline only. If an order is confirmed, H&I will use reasonable endeavors to deliver your order to the relevant address by the time stipulated in the app, though we cannot guarantee this. You should not rely on our predicted delivery times or service availability to guarantee access to your health and medical needs. Any medication that is critical to your health or required to be taken on a strict schedule should be ordered well ahead of time, and you should not rely on us for urgent deliveries. 

 

1.5 H&I also reserves the right to in its absolute discretion to cancel any Orders for any reason, including without limitation, an error in the price or the description of a product or a customer error in placing the Order.

 

1.6 In order to purchase Prescription Products, the customer must provide proof of the relevant prescription, and upload such proof at the time of placing the Order. By uploading the prescription, the customer represents and warrants that they hold a valid and legal prescription that has been duly issued by a duly licensed medical provider, and neither the prescription nor the document uploaded has been forged or fraudulently obtained or created.

 

1.7 The Order process will require you to provide delivery instructions in respect of the Order. H&I will take your delivery instructions into account when organizing your delivery, but the final details of the delivery will be confirmed over email or through in-app notifications.

 

1.8 Orders will not be accepted if the relevant delivery instructions include a delivery location outside of the delivery zones.

 

1.9 The EZ Pharmacies Service allows users to order at any time of the day, however the delivery of those orders is only available during the delivery times.

 

1.10 With respect to the completion of deliveries:

 

(a) You must ensure that you are able to accept the delivery without undue delay and at the time and place reasonably confirmed by us and you must reasonably ensure the place of delivery is safe (e.g. there are no hazards, and any pets are controlled).

 

(b) In the case an ID proof is required and/or the original prescription are required by the Merchant Partner to be provided, you should be able to provide those as and when required.

 

(c) Deliverers will not commit to completing the delivery if the delivery location is unsafe, or beyond the front door of the delivery address (i.e. a point beyond which entry into the interior of the building occurs).

 

(d) If a deliverer deems it safe and practical they may, following your request, agree to complete the delivery beyond the front door, and in these circumstances you agree to continually indemnify and hold harmless H&I from any loss suffered or incurred through the completion of the delivery beyond your front door.

 

(e) If a deliverer reasonably deems a requested delivery location to be unsafe, the order will be returned to the dispatch address and redelivery fees may apply.

 

(f) Additional health and safety requirements may apply, such as with respect to measures to counter risks arising from the transmission of viruses such as COVID-19.

 

1.11 Once the deliverer has delivered an Order in accordance with clause 1.4 above, and any relevant scripts have been collected, you must advise us within two (2) Business Days if there is a problem with your Order or it will be deemed to have been successfully supplied and delivered.

 

3.12 You acknowledge and agree that, where the product is a Prescription Product you will be responsible for providing a valid prescription and any other documentation required for the purchase, supply and delivery of the Prescription Product. The Merchant Partner may in its discretion for any reasonable reason, including where you do not provide a valid prescription, decide not to dispense the relevant Prescription Product to you, including by instructing the deliverer not to release the Prescription Products to you, in which case the Prescription Products in your Order will be cancelled and the payment returned to you with a deduction of a refund fee. As part of its duty of care, the Merchant Partner may wish to speak to you by phone or other audio-visual means prior to authorizing the delivery and release of the Order to you. 

 

Until such time as the order is finally released by the deliverer, it will not have been supplied to you and may be cancelled.

 

1.13 The description of the EZ Pharmacies Service may be reviewed and updated from time to time, and any updates will be provided here.

CHARGES AND PAYMENT PROCESS

2.1 In consideration for an Order, customers will be charged fees per Order (‘Service Fees’) as displayed at the time of transaction that is based on the specifics of that Order, including without limitation with respect to what products are provided and the details of the delivery. Customers agree to pay H&I the Service Fees, and will be required to enter their payment details in order to complete the Order process.

 

2.2 All payments of Service Fees will be enabled by H&I via a third party service provider (‘Payment Provider’) to provide payment services and act as a payment facilitator.

 

2.3 H&I does not store your financial information, and as a consequence is not required to maintain any compliance with online payment regulations. After each Order has been processed customers will receive:

(a) a confirmation communication summarizing your confirmed Order and delivery details; and

(b) a receipt in respect of the Order.

CANCELLATIONS AND REFUNDS

3.1 Once an Order has been processed and payment made, a customer cannot cancel the Order. If you still want to cancel the Order, you will be charged a cancellation fee determined by us at our sole discretion.

 

3.2 In the event that you are delivered the wrong products as part of the Order, then you must advise us as soon as possible and in any event within two (2) Business Days together with relevant details and a customer service person will be in touch with respect to further steps, which may include a refund of part of the relevant Service Fee.

 

3.3 With respect to Prescription Products, if the Merchant Partner at any time before or the products are delivered to you for good reason decides not to dispense the relevant Prescription Product to you, such as without limitation because of concerns about the validity of the prescription, the Prescription Products in your Order will be cancelled and the payment refunded to you with a deduction of a refund fee.

LIMITATION OF LIABILITY

4.1 To the extent permitted by law, H&I specifically disclaims all liability for any loss or damage (actual, special, direct, indirect and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed (including, without limitation, loss or damage relating to any inaccuracy of information provided, or the lack of fitness for purpose of the transaction between a customer and a Merchant Partner).

 

4.2 To the extent permitted by law, H&I specifically disclaims all liability for any loss or damage (actual, special, direct, indirect and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed (including, without limitation, loss or damage relating to any inaccuracy of information provided, or the lack of fitness for purpose of any goods or service supplied), arising out of or in any way connected with any transaction between you and any third party provider who may be included from time to time on the Eazy Life Mobile App.

 

4.3 H&I’s liability to any user of this service is limited to the total amount of AED 100.

 

4.4 H&I operates a distribution service for Merchant Partners. It is not a party to a supply contract between a Merchant Partner and a customer. H&I accepts no liability for any aspect of a User’s interaction with a Merchant Partner or a deliverer, and H&I has no obligation to any User to assist or involve itself in any way in any dispute between a User and a Merchant Partner or a User and a delivere

EZ Offers Terms of Service

General

H&I Technology DMCC through EZ Offers provides a collection of B2C and C2C services including classified ads and various messaging services, (referred to hereafter as "the Service") subject to these additional Terms of Service ("Terms"). These Terms are to be read in conjunction with the General Terms specified in Section A.

By using the Service in any way, you are agreeing to comply with the Terms. In addition, when using particular EZ Offers services, you agree to abide by any applicable guidelines for all EZ Offers services, which may change from time to time. Should you object to any term or condition of the Terms, any guidelines, or any subsequent modifications thereto or become dissatisfied with EZ Offers in any way, your only recourse is to immediately discontinue use of EZ Offers. H&I Technology DMCC through EZ Offers has the right, but is not obligated, to strictly enforce the Terms through self-help, community moderation, active investigation, litigation and prosecution if required.

Modifications to These Terms

We reserve the right, at our sole discretion, to change, modify or otherwise alter these terms and conditions at any time. Such modifications shall become effective immediately upon the posting thereof. You must review these Terms on a regular basis to keep yourself apprised of any changes.

Content

You understand that all postings, messages, text, files, images, photos, video, sounds, or other materials ("Content") posted on, transmitted through, or linked from the Service, are the sole responsibility of the person from whom such Content originated. More specifically, you are entirely responsible for each individual item ("Item") of Content that you post, email or otherwise make available via the Service. You understand that H&I Technology DMCC does not control (although it puts all measures in place), and is not responsible for Content made available through the Service, and that by using the Service, you may be exposed to Content that could be seen as offensive, indecent, inaccurate, misleading, or otherwise objectionable. 

Furthermore, the EZ Offers and Content available through the Service may contain links to other websites, which are completely independent of H&I Technology DMCC. H&I Technology DMCC makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such site. Your linking to any other websites is at your own risk. You agree that you must evaluate, and bear all risks associated with, the use of any Content, that you may not rely on said Content, and that under no circumstances will H&I Technology DMCC be liable in any way for any Content or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed or otherwise made available via the Service. You acknowledge that H&I Technology DMCC does not pre-screen or approve Content, but that H&I Technology DMCC shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any Content that is available via the Service, for violating the letter or spirit of the Terms or for any other reason.

Third Party Content, Sites and Services

The EZ Offers and Content available through the Service may contain features and functionalities that may link you or provide you with access to third party content which is completely independent of H&I Technology DMCC including web sites, directories, servers, networks, systems, information and databases, applications, software, programs, products or services, and the Internet as a whole. 

Your interactions with organizations and/or individuals found on or through the Service, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organizations and/or individuals. You should make whatever investigation you feel necessary or appropriate before proceeding with any online or offline transaction with any of these third parties. 

You agree that H&I Technology DMCC shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between participants on this site, or between users and any third party, you understand and agree that H&I Technology DMCC is under no obligation to become involved. In the event that you have a dispute with one or more other users, you hereby release H&I Technology DMCC, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and / or our service. 

You hereby also agree and acknowledge that EZ Offers may contain adverts placed by advertisers or companies in the course of business for goods or services (and which H&I Technology DMCC takes no responsibility for). Advertisers or companies using EZ Offers to place adverts offering goods or services of a business, commercial or trade nature must include their full names in the advert and make it clear that they are selling goods or services in the course of business either by the content, format, size or place of the advertisement or by including words such as “professional” “dealer”, “trader”, “agent”, “wholesaler” or similar in the name of the advert they submit for publication.

Notification of claims

If you believe that your privacy, personal information data or work has been used or copied in a way that constitutes an infringement, please notify us urgently using the Help Center under Eazy Life Mobile App.

Please provide us with the following details:

  1. a) Identify the material on EZ Offers that you claim is infringing, with enough detail so that we may locate it on Eazy Life Mobile App;
  2. b) A statement by you that you have a good faith belief that the disputed use is not authorized by you;
  3. c) A statement by you declaring that (1) the above information is accurate, and (2) that you are submitting the claim as a victim of the infringement; and
  4. d) Your address, telephone number, and email address.

After investigation, H&I Technology DMCC will remove the infringing posting(s).

Privacy Notice

H&I Technology DMCC has established a Privacy Policy to explain to users how their information is collected and used. Your use of the EZ Offers signifies acknowledgement and agreement to our Privacy Policy. You further acknowledge and agree that H&I Technology DMCC may, in its sole discretion, preserve or disclose your Content, as well as your information, such as email addresses, IP addresses, timestamps, and other user information, if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: comply with legal process; enforce the Terms; respond to claims that any Content violates the rights of third-parties; respond to claims that contact information (e.g. phone number, street address) of a third-party has been posted or transmitted without their consent or as a form of harassment; protect the rights, property, or personal safety of H&I Technology DMCC, its users or the general public. 

Conduct

You agree not to post, email, or otherwise make available Content:

  1. a) that is unlawful, harmful, threatening, abusive, harassing, defamatory, libelous, invasive of another's privacy, or is harmful to minors in any way;
  2. b) that is pornographic or depicts a human being engaged in actual sexual conduct;
  3. c) that harasses, degrades, intimidates or is hateful toward an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
  4. d) that violates equal employment opportunity laws, including but not limited to, stating in any advertisement for employment a preference or requirement based on race, color, religion, sex, national origin, age, or disability.
  5. e) that impersonates any person or entity, or falsely states or otherwise misrepresents your affiliation with a person or entity (this provision does not apply to Content that constitutes lawful non-deceptive parody of public figures.);
  6. f) that includes personal or identifying information about another person without that person's explicit consent;
  7. g) that is false, deceptive, misleading, deceitful, or constitutes "bait and switch";
  8. h) that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party, or Content that you do not have a right to make available under any law or under contractual or fiduciary relationships;
  9. i) that constitutes or contains "affiliate marketing," "link referral code," "junk mail," "spam," "chain letters," "pyramid schemes," or unsolicited commercial advertisement;
  10. j) that constitutes, facilitates, or contains any form of advertising, offers, or solicitation if: posted in areas of the EZ Offers category which are not designated for such purposes; or emailed to H&I Technology DMCC users who have not indicated in writing that it is ok to contact them about other services, products or commercial interests.
  11. k) that includes links to commercial services or web sites, except as allowed in "services";
  12. l) that advertises any illegal service or the sale of any items the sale of which is prohibited or restricted by any applicable law. 
  13. m) that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; 
  14. n) that disrupts the normal flow of dialogue with an excessive amount of Content (flooding attack) to the Service, or that otherwise negatively affects other users' ability to use the Service; or
  15. o) that employs misleading email addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of Content transmitted through the Service.

Additionally, you agree not to:

  1. p) contact anyone who has asked not to be contacted, or make unsolicited contact with anyone for any commercial purpose;
  2. r) "stalk" or otherwise harass anyone;
  3. s) collect personal data about other users for commercial or unlawful purposes;
  4. t) use automated means, including spiders, robots, crawlers, data mining tools, or the like to download data from the Service;
  5. u) post non-local or otherwise irrelevant Content, repeatedly post the same or similar Content or otherwise impose an unreasonable or disproportionately large load on our infrastructure;
  6. v) post the same item or service in more than one classified category or in more than one area;
  7. w) attempt to gain unauthorized access to H&I Technology DMCC's computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service or the Mobile App or Eazy Life website; or
  8. w) use any form of automated device or computer program that enables the submission of postings on EZ Offers without each posting being manually entered by the author thereof (an "automated posting device"), including without limitation, the use of any such automated posting device to submit postings in bulk, or for automatic submission of postings at regular intervals, unless otherwise approved in writing by us.
Paid Postings

We may charge a fee to post Content in some areas of the Service. The fee is an access fee permitting Content to be posted in a designated area. Each party posting Content to the Service is responsible for said Content and compliance with the Terms. All fees paid will be non-refundable in the event that Content is removed from the Service for violating the Terms.

Posting Agents

We prohibit the use of Posting Agents, directly or indirectly, without our prior written consent.

Limitations on Service

You acknowledge that H&I Technology DMCC may establish limits concerning use of the Service, including the maximum number of days that Content will be retained by the Service, the maximum number and size of postings, email messages, or other Content that may be transmitted or stored by the Service, and the frequency with which you may access the Service. You agree that H&I Technology DMCC has no responsibility or liability for the deletion or failure to store any Content maintained or transmitted by the Service. You acknowledge that H&I Technology DMCC reserves the right at any time to modify or discontinue the Service (or any part thereof) with or without notice, and that H&I Technology DMCC shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

Access to the Service

H&I Technology DMCC grants you a limited, revocable, non-exclusive license to access the Service for your own personal use. This license does not include: (a) access to the Service by Posting Agents; or (b) any collection, aggregation, copying, duplication, display or derivative use of the Service nor any use of data mining, robots, spiders, or similar data gathering and extraction tools for any purpose unless expressly permitted by H&I Technology DMCC. 

Use of the Service beyond the scope of authorized access granted to you by H&I Technology DMCC immediately terminates said permission or license. 

Termination of Service

You agree that H&I Technology DMCC, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the Service (or any part thereof), immediately and without notice, and remove and discard any Content within the Service, for any reason, including, without limitation, if H&I Technology DMCC believes that you have acted inconsistently with the letter or spirit of the Terms. Further, you agree that H&I Technology DMCC shall not be liable to you or any third-party for any termination of your access to the Service.

Proprietary Rights

The Service is protected to the maximum extent permitted by copyright laws and international treaties. Content displayed on or through the Service is protected by copyright as a collective work and/or compilation, pursuant to copyrights laws, and international conventions. Any reproduction, modification, creation of derivative works from or redistribution of the site or the collective work, and/or copying or reproducing the sites or any portion thereof to any other server or location for further reproduction or redistribution is prohibited without the express written consent of H&I Technology DMCC. You further agree not to reproduce, duplicate or copy Content from the Service without the express written consent of H&I Technology DMCC, and agree to abide by any and all copyright notices displayed on the Service. You may not decompile or disassemble, reverse engineer or otherwise attempt to discover any source code contained in the Service. Without limiting the foregoing, you agree not to reproduce, duplicate, copy, sell, resell or exploit for any commercial purposes, any aspect of the Service.

Although H&I Technology DMCC does not claim ownership of content that its users post, by posting Content to any public area of the Service, you automatically grant, and you represent and warrant that you have the right to grant, to H&I Technology DMCC an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, and distribute said Content and to prepare derivative works of, or incorporate into other works, said Content, and to grant and authorize sublicenses (through multiple tiers) of the foregoing. Furthermore, by posting Content to any public area of the Service, you automatically grant H&I Technology DMCC all rights necessary to prohibit any subsequent aggregation, display, copying, duplication, reproduction, or exploitation of the Content on the Service by any party for any purpose.

Disclaimer and Warranties

YOU AGREE THAT USE OF EZ OFFERS AND THE SERVICE IS ENTIRELY AT YOUR OWN RISK. THE EZ OFFERS AND THE SERVICE ARE PROVIDED ON AN "AS IS" OR "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND. ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS ARE EXPRESSLY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW. 

TO THE FULLEST EXTENT PERMITTED BY LAW, H&I TECHNOLOGY DMCC DISCLAIMS ANY WARRANTIES FOR THE SECURITY, RELIABILITY, TIMELINESS, ACCURACY, AND PERFORMANCE OF THE H&I TECHNOLOGY DMCC SITE AND THE SERVICE. TO THE FULLEST EXTENT PERMITTED BY LAW, H&I TECHNOLOGY DMCC DISCLAIMS ANY WARRANTIES FOR OTHER SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON EZ OFFERS OR SERVICE, OR ACCESSED THROUGH ANY LINKS ON THE EZ LIFE MOBILE APP OR H&I TECHNOLOGY DMCC SITE. 

TO THE FULLEST EXTENT PERMITTED BY LAW, H&I TECHNOLOGY DMCC DISCLAIMS ANY WARRANTIES FOR VIRUSES OR OTHER HARMFUL COMPONENTS IN CONNECTION WITH EAZY LIFE MOBILE APP OR THE SERVICE. 

Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL H&I TECHNOLOGY DMCC BE LIABLE FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES (EVEN IF H&I TECHNOLOGY DMCC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM ANY ASPECT OF YOUR USE OF THE EZ OFFERS OR THE SERVICE, WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF EZ OFFERS OR THE SERVICE, FROM INABILITY TO USE THE EZ OFFERS OR THE SERVICE, OR THE INTERRUPTION, SUSPENSION, MODIFICATION, ALTERATION, OR TERMINATION OF THE EZ OFFERS OR THE SERVICE. 

SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF OTHER SERVICES OR PRODUCTS RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH THE EZ OFFERS OR THE SERVICE OR ANY LINKS ON THE H&I TECHNOLOGY DMCC SITE, OR EAZY MOBILE APP AS WELL AS BY REASON OF ANY INFORMATION OR ADVICE RECEIVED THROUGH OR ADVERTISED IN CONNECTION WITH EZ OFFERS OR THE SERVICE OR ANY LINKS. THESE LIMITATIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. You specifically acknowledge and agree that the Company shall not be liable for user submissions or the defamatory, offensive, or illegal conduct of any user or third party and that the risk of harm or damage from the foregoing rests entirely with you.

In all cases, H&I Technology DMCC’s liability (if any) shall not exceed AED 100.

Indemnity

You agree to indemnify and hold H&I Technology DMCC, its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, harmless from any claim or demand, including reasonable attorney fees and court costs, made by any third party due to or arising out of Content you submit, post or make available through the Service, your use of the Service, your violation of the Terms, your breach of any of the representations and warranties herein, or your violation of any rights of another.

Specific Terms for Property Offers

If you are listing a property on EZ Offers, your obligations are as follows:

Brokers:

  • You warrant that you possess a valid license from the Real Estate Regulatory Authority (RERA), or its equivalent in the Emirate in which you are advertising.
  • If a project is off plan (under construction), you warrant that the project is registered with RERA.
  • If you are engaging in subleasing activities, you warrant that you possess a license for the activity.
  • If you are engaging in short-term or Holiday Home leasing, you warrant that you possess a license for the activity.
  • As per the RERA regulations, you must obtain approval for every sale or leasing advertisement (located within or outside of Dubai) and display the RERA Permit Number, Office Registration Number and Broker Registration Number on all advertisements.

Developers:

  • You warrant that you possess a valid license from RERA, or its equivalent in the Emirate in which you are advertising.
  • If a project is off plan (under construction), you warrant that it is registered with RERA and hold a RERA-approved Escrow Account for the project.
  • As per RERA regulations, you must obtain approval for every property advertisement (located within or outside of Dubai) and display the RERA Permit Number on all advertisements.

Owners and Landlords:

  • You warrant that you are the Owner/Landlord of the property, or otherwise possess valid authorization to list the property on the Website.
  • If you are engaging in short-term or Holiday Home Leasing, you warrant that you possess a license for the activity.

Tenants:

  • You warrant that you possess valid, written consent from your Landlord before advertising on the Website, and that you are legally entitled to publish such advertisement.
Specific Terms for Vehicle Offers

If you are listing a vehicle on EZ Offers, you must not offer for sale any vehicle that is located outside of the UAE, unless you can prove ownership of the vehicle upon request; that is not immediately for sale; that is not accurately described by the category in which it is advertised; that you are not the owner of, or in all other cases, which you do not have the rights to sell; or without true and accurate pricing of the vehicle displayed within the listing.

We may request that you provide proof of ownership, and that the vehicle is located in the UAE or has been cleared by UAE customs. If you do not provide us with proof within 24 hours of request, we may immediately remove the relevant advertisement/content without further notice and no refund will be made.

Specific Terms for Job Offers

If you are listing a Job offer on EZ Offers, you should be able to provide the commercial license copy as well as your identity to post the job offer on behalf of your company/organization. We may request that you provide further evidences as to the authenticity of your job offer.

Furthermore, we are not responsible for the information posted by the users as job seekers in their CV or their posts. 

EZ Shopping Terms of Service

Introduction

These terms of service set out the terms and conditions on which products are supplied to you as a buyer using EZ Shopping on the Eazy Life Mobile Application. These are in addition to and should be read in conjunction with the General Terms in Section A. Please read these terms carefully before you submit your order via EZ Shopping. By placing an order using EZ Shopping, you are agreeing to be bound by these Terms of Sale with immediate effect.

Making your Order

Products available on EZ Shopping are not sold by us but by the merchant partners having their own store on EZ Shopping.

You have the possibility to select your category and then then your preferred merchant and finally choose your product. Once you complete the selection of your product(s) and you proceed with the payment, your order will be placed and the merchant partner will be advised instantly to start preparing your order.

Acceptance

Acceptance of your order by the merchant partner will take place when we notify you of such acceptance. If the merchant is unable to accept your order, you will be informed and the terms and conditions related to the cancellation by the merchant will apply.

Payment

By placing an order, you authorize us or our third-party payment processer to process your credit/debit card details for the amount of your order. We accept payment by,

  • credit/debit card; and/or
  • via Eazy Wallet and/or
  • your Eazy Points subject to availability and restrictions.

In order to authorize credit/debit card payments, we may be required to create an account for you with our third-party payment processors, including accepting their standard terms and conditions and submitting your details to them on your behalf. You hereby authorize us to do so and we shall not be liable to you for any damage or loss you may incur as a result. We may remove or add cards or other payment methods that we accept at any time without prior notice to you.
Cancelling Order
  1. You may cancel your order immediately prior to shipping for any reason. 
  1. We may cancel your order(s) if:
  • we do not receive, for any reason, any payment to us when it is due;
  • you do not, within a reasonable time of us asking for it, provide us with information that is necessary for us or the merchant partner to provide the products; or
  • you do not, within a reasonable time, allow us or the merchant partner to deliver the products to you or collect them from the merchant partner; or
  • you attempt to bulk or multi-order purchase; and
  • order(s) not being capable of fulfilled due to product(s) not being available.

For any cancelation by you or by us, you will be charged a cancellation fee determined by us at our sole discretion.

Bulk/Multiple Purchasing

We reserve the right to reject any orders, at our sole discretion, where we detect bulk purchasing or multiple units of similar products being purchased.

Delivery of your Order

Delivery can be made via Eazy Life delivery partner or by the merchant partner directly to you. In all cases, delivery fees will be charged and the delivery fees will be as displayed to you. Your Order will be delivered today as per the timeline displayed on Eazy Life.  

If our supply of the product is delayed by an event outside of our control, then we will contact you as soon as possible to let you know and we will take steps to minimize the effect of the delay. If no one is available at your address to take delivery and the products cannot be posted through your letterbox, we will notify you of how to rearrange delivery or collect the product. If you do not collect the product from the merchant partner as arranged or if, after a failed delivery to you, you do not re-arrange delivery or collect them from the merchant, we will contact you for further instructions. If, despite our reasonable efforts, we are unable to contact you or re-arrange delivery or collection, we will cancel your order.

ID Requirement Upon Delivery
  1. We may, at our sole discretion, make any inquiry we deem necessary to verify your identity and/or ownership of your financial instruments by requesting that you provide us with further information or documentation, including, but not limited to requesting a form of identification and/or credit card. If we are unable to verify or authenticate any information you provide, we have the right to refuse delivery and cancel the order.
Title to Products

A product will be considered owned by you and your responsibility from the time we deliver the product to the delivery address and you have paid for the product.

Invoice

We will issue an electronic invoice for your purchase and send such invoice to the email address you provided to us.

Returns
  1. The merchant partner sets the terms and conditions for return. Please check directly with the merchant partner for any return request. In all cases, you do not have a right to return, replace or exchange products in respect of:
  • products that are classified as hazardous materials or use flammable liquids or gases;
  • products that have been used or damaged by you or are not in the same condition as you received them;
  • any consumable product which has been used or installed;
  • products with tampered or missing serial numbers; or
  • products that fall under specific categories, including digital books, swimwear, hosiery, underwear, socks, health, contact lenses, hygiene related and personal care products and certain baby products (e.g. tethers, diapers, hygiene tissues, feeding related products) music, video and video games.

Your Refund

For delivered products, you will be refunded after liaising with the merchant partner as per the merchant’s return policy. For products not delivered, you will receive a full refund if you cancel the order as specified herein. Once an agreement is reached between you and the merchant partner, we will issue a refund to you on your credit/debit card or to your Eazy Wallet.

Refund Timescale
  1. Your refund will be initiated only once we receive a confirmation of your agreement with the merchant and once the product is received back by the merchant partner and inspected. The final refund will be received by you as follows:
  • if the refund is to your credit/debit card, within thirty (30) days from the day on which we receive the confirmation; and
  • if your refund is to your Eazy Wallet, you will receive the refund immediately after your product is received back by the merchant and we receive the confirmation from the merchant that we can proceed with the refund as per your agreement with the merchant; and 
  • if you have cancelled your order before shipping, a refund will be provided back to you within 48 hours.
Warranty
  1. Warranty is covered by the merchant’s warranty policy. We do not provide any warranty. Please check the terms and conditions of the merchant partner.

Eazy Life Reward Program Terms of Service

Introduction

The Eazy Life Reward Program (“Eazy Life”) is designed by H&I Technology DMCC to help you get the most out of your membership. We reward you for doing the things you already do: shop on EZ Groceries, EZ Pharmacies, EZ Shopping and Eazy Restaurant, post on Eazy Offer and refer friends and merchants to us. Best of all, you can use the points you earn to purchase more products! 

The following terms and conditions contain important information regarding Eazy Life. Please read the following terms and conditions carefully. These terms and conditions are to be read in conjunction with the General Terms in Section A. Acceptance of the Terms of Service includes acceptance of these terms and conditions which are a binding agreement between you and us and will govern your participation in any and all Eazy Life offers.


Participating in Eazy Life entitles members (“Members”) to take advantage of certain rewards (“Rewards”) that may change from time to time and, which may be made available for limited times, all as determined by us in our sole discretion. 


We reserve the right to modify these terms and conditions at any time, without notice to you, so it is important to check the Terms of Service periodically. Participation in Eazy Life is considered acceptance of these terms and conditions and any modified terms included therein. Upon notice, we may, in our sole and absolute discretion, cancel, change, suspend or modify any aspect of Eazy Life Program Reward at any time, including the availability of any program reward.

Program Period

Eazy Life will continue until terminated, suspended, modified, or converted to another rewards program by us (the “Program Period”).

Eligibility

To become a Member of Eazy Life, you must be a legal resident of the United Arab Emirates, and be 18 years of age or older. To enroll in Eazy Life, you simply need to have registered for an Eazy Life account. You do not need to have a subscription to earn Eazy Points.

Earning Eazy Points

Once you have become a Member, you can begin racking up Eazy Points the following ways:

 

  • Shop, order — every time you purchase a product or make an order, you earn point for every whole AED10 spent per order (excluding tax, delivery charges and fees). 
  • Refer friends or merchants — earn Eazy Points for every friend or merchant who signs up for Eazy Life.

 

Upon notice, we reserve the right to suspend, terminate, revalue or modify, without liability to Members, all or part of the Eazy Points’ value structure and offers and any merchandise or service. We reserve the right to adjudicate all Eazy Points discrepancies in its sole discretion, and the Members agree to abide by any such adjudication.

Eazy Points Redemption
  1. The Eazy Points are redeemable towards purchases and orders. You can redeem your Eazy Points during the checkout process. 


    To redeem your Eazy Points, simply add items to your cart, and click the “Checkout” button. Continue through the checkout process. When you get to the payment details section, you’ll see a box that allows you to select your payment method which includes the redemption of your Eazy Points. If you select to use your Eazy Points, your Eazy Points will be used and the AED value will be deducted from your order total.

Eazy Points Minimums and Maximum

You cannot redeem Eazy Points for more than a percentage or an amount of the total amount of your purchase as determined by us. Eazy Points are not redeemable for cash.

Eazy Points Balance

You can always check your Eazy Point balance in your Profile page on EZ Life Mobile App.

Eazy Points Expiration

Eazy Points will expire on 31 December of each year. If Member does not redeem Eazy Points within the calendar year, Member forfeits all such Eazy Points.

Eazy Referral Program Terms of Service

Introduction

H&I Technology DMCC offers customers (“Referrer” or “You”) the opportunity to participate in its Eazy Referral Program (the “Program”). We reserve the right to amend or terminate the Program at any time, for any reason. The Program is administered by us.

Referrers are bound by these Terms and Conditions by participating in the Program. By participating in the Program, Referrers agree to use the Program in the manner specified in these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety, you are not authorized to register as a Referrer or to participate in the Program in any other manner. 

We reserve the right to modify or amend at any time these Terms and Conditions and/or the methods through which rewards are earned. We reserve the right to disqualify any Referrers from participation in the Program at any time at our sole discretion, including without limitation if he/she does not comply with any of these Terms and Conditions or otherwise fails to comply with any applicable laws.

These Terms and Conditions are to be read in conjunction with the General Terms contained in Section A.

How the Program Works
A. Program Participation, Generally
  1. To participate in the Program, Referrers should have Eazy Life account. In the Profile Page use the Referral section, Referrer should follow the on-screen instructions to refer friends by entering their contact information in the relevant fields.
  2. By participating in the Program, a Referrer represents that he or she has her friends’ prior consent to provide their contact information.
B. Eligible Referrer
  1. To be "Eligible," a Referrer must:
  • Be a legal resident of the United Arab Emirates; and
  • Be at least 18 years old.
C. Making a Referral
  1. A Referrer must register at Eazy Life to make a referral. No previous purchase or order is required (purchasers and non-purchasers alike are eligible). Once a Referrer refers a friend, he/she will be provided with a confirmation email, and will be receive rewards if the friend creates an account with Eazy Life. 
  2. Referrers must respect the spirit of the Program by only referring real individuals who meet the requirements of these Terms and Conditions. Referrers cannot refer themselves. For example, a Referrer may not create multiple or fake accounts with Eazy Life or participate in the Program using multiple or fake email addresses or identities.
D. Earning Rewards
  1. Referrer shall receive one (1) reward (each, a “Reward”) in the form and value determined by us for each account generated by Referrer. There is no limitation on the number of referrals. 
  2. Rewards may be redeemed in various forms in our sole discretion, including, but not limited to in the form of Eazy Points. Restrictions may apply. For example, if the Reward is in the form of a gift card, gift certificate or voucher, it may be subject to the issuer's terms and conditions.
F. Verifications
  1. Rewards are subject to verification. We may delay a Reward for the purposes of investigation. We  may also refuse to verify and process any transaction we deem, in our sole discretion, to be fraudulent, suspicious, in violation of these Terms and Conditions, or believes will impose potential liability on H&I Technology DMCC, its subsidiaries, affiliates or any of their respective officers, directors, employees, representatives and agents. All of H&I Technology DMCC's decisions are final and binding.
G. Transfer and Value of Credit and Rewards
  1. Rewards have no monetary value and may not be redeemed for cash. Rewards are not transferable and may not be auctioned, traded, bartered or sold. Upon termination of the referral program or any portion thereof for any reason, any unredeemed Rewards that have not yet been delivered to Referrer are forfeited.
Privacy

Referrers may participate in the Program made available by us in order to refer their friends to us as potential new customers. To do this, Referrers must necessarily submit personal information about themselves and their friends, such as name and e-mail address information, so that we can send communications to the friends on the Referrers’ behalf. The personal information will be collected, processed and used in accordance with our Privacy Policy. 

Referrers understand that, in addition to the initial communications to friends, we may also use the personal information to send additional follow-up communications on behalf of the Referrers.

Liability

A. By participating in the Program, Referrers agree to:

  1. Be bound by these Terms and Conditions, the decisions of H&I Technology DMCC and its designees, and the Privacy Policy;
  2. Defend, indemnify, release and hold harmless H&I Technology DMCC, its parent companies, affiliates and subsidiaries, together with their respective employees, directors, officers, licensees, licensors, shareholders, attorneys and agents including, without limitation, their respective advertising and promotion entities and any person or entity associated with the production, operation or administration of the Program (collectively, the "Released Parties"), from any and all claims, actions, demands, damages, losses, liabilities, costs or expenses caused by, arising out of, in connection with, or related to Referrers’ participation in the Program (including, without limitation, any property loss, damage, personal injury or death caused to any person(s) and/or the awarding, receipt and/or use or misuse of the Program or any Reward); and

B. We shall not be liable for:

  1. Late, lost, delayed, stolen, misdirected, incomplete, unreadable, inaccurate, unreliable, garbled or unintelligible entries, communications or affidavits, regardless of the method of transmission;
  2. Telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors;
  3. Data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials;
  4. Any printing, typographical, administrative or technological errors in any websites or materials associated with the referral program; or
  5. Claims, demands, and damages in disputes among Referrers or between Referrers and friends; or
  6. Any other injuries, losses or damages of any kind resulting from acceptance, possession or use of a reward, or from participation in the Program, that were not reasonably foreseeable to us at the relevant time.
Conduct

A. If a solution cannot be found to restore the integrity of the Program after the occurrence of Prohibited Conduct (as defined below), we reserve the right to cancel, change, or suspend the Program.

B. Prohibited Conduct, Generally

  1. Referrers agree not to use the Program to:
  • Violate applicable law;
  • Infringe the intellectual property rights of H&I Technology DMCC or any third parties;
  • Stalk, harass, or harm another individual;
  • Collect or store personal data about other Referrers;
  • Impersonate any person or otherwise misrepresent Referrer's identity;
  • Interfere with, disrupt or violate the Terms and Conditions or servers or networks connected to the Program; or disobey any requirements, procedures, policies, or regulations of such networks;
  • Interfere with another Referrer's use of the Program;
  • Attempt to gain unauthorized access to the Program, other accounts, computer systems, or networks connected to the Program;
  • Transmit any file that contains viruses, worms, trojan horses, or any other contaminating or destructive features;
  • Conduct any illegal activity or solicit the performance of any illegal activity or other activity that infringes the rights of others;
  • Resell, barter, trade, auction or otherwise generate income by providing access to the Program to others,
  • Bulk Distribution ("Spam").
Eazy Points Minimums and Maximum

Eazy Points Expiration

Eazy Points will expire on 31 December of each year. If Member does not redeem Eazy Points within the calendar year, Member forfeits all such Eazy Points.

Eazy Wallet Terms of Service

Introduction

By using the Eazy Life mobile application (the “Application”) developed and owned by H&I Technology DMCC (the “Company” or “us” “we”) which enables persons seeking to establish an account with the Company and use the Eazy Wallet (the “Eazy Wallet” and generally, the “Service”), you hereby expressly acknowledge and agree to be bound by these Terms of Use, and any future amendments and additions to these Terms of Service and especially Section A (General Terms) as amended from time to time

Use of the Eazy Wallet
  • Type of payments that can be made with the Eazy Wallet:

The Eazy Wallet may be used as a means of payment for any payment required under Eazy Life including purchase of goods and services from merchants, PROVIDED HOWEVER that no payments in violation of the provisions of these Terms of Use.

  • Applicable Fees and Charges: 

There shall be no charges levied by the Company on usage of the Eazy Wallet other than as agreed with you in writing.

  • User Transaction Statement:

A full statement of User’s transactions is available in the Profile Page.

  • Fraudulent activity or stolen e-money:

You agree to immediately notify the Company by contacting our Help Centre via the Eazy Life Application in the event of any fraudulent activity or theft of funds in the Eazy Wallet of which you become aware.

  • The Company has the right to suspend, or later reverse, the processing of any transaction where it reasonably believes that the transaction may be fraudulent, illegal or involves any criminal activity or where the Company reasonably believes you to be in breach of the Terms of Use.
  • The Company reserves the right to suspend the use of your account entirely, disable the Eazy Wallet or block any financial instruments e.g. credit or debit card where it reasonably believes that the account activity may be fraudulent, illegal or involves any criminal activity or where the Company reasonably believes you to be in breach of the Terms Of Use.
Use of the Service
  • Funds can be added to Eazy Wallet using a credit or debit card. Users may choose to add any credit or debit cards for loading funds into the Eazy Wallet (“Funding Source”).
  • You agree that we may verify and authorize the Funding Source details when you first register the Funding Source with us as well as when you use the Service.
  • In the case of debit or credit cards as Funding Sources, you agree that we may issue a reasonable authorization hold, which is not an actual charge against your card, in order to verify your payment method via your card. The hold may appear in your statement as “pending”. The authorization hold is issued as a preventive measure against any unauthorized or fraudulent usage of your card.
  • Your Eazy Wallet will hold amounts in UAE Dirhams.
  • When you make a payment by Eazy Wallet, you are liable to the Company for the full amount of the payment plus any fees if the payment is later invalidated for any reason including but not limited to claims, chargebacks, or if there is a reversal of the payment. You agree to allow the Company to determine (or in the case where a debit or credit card is used as the Funding Source, to work with your debit or credit card issuer) the appropriate party to incur the burden of such claims, chargebacks or reversals and where applicable to recover any amounts due to the Company by debiting your Eazy Wallet. For the avoidance of doubt, if there is an error in relation to a transfer or an entry is incorrect, we reserve the right to submit corrected entries.
  • You shall be responsible on your own to resolve any disputes related to your debit or credit card with your bank in relation to payments or top-ups of your Eazy Wallet. The Company shall not be responsible for any such lost or misdirected payments.
Establishing your Identity
  • The Company is required to comply with all applicable laws, regulations, notices and guidelines issued by the relevant government and regulatory authorities, 
  • Pursuant to such applicable laws, regulations, notices and guidelines, Users of the Eazy Wallet may be required to provide to the Company such data to allow the Company to establish and verify their identity (together with, in the case of corporate account, the identity of the beneficial owners, directors or individuals with executive authority, and individuals authorized to operate the account) both at the time of opening the Eazy Wallet account, at periodic intervals after opening the account, and on ongoing basis.
  • You hereby acknowledge that the Company may collect such data on request, and use such data provided for the purposes of establishing your identity and implementing an ongoing monitoring program to ensure the adherence of the Company and the User to the applicable laws, regulations, notices and guidelines, together with sharing such data internally with its affiliates and with third-party that we use for outsourcing purposes, as well as in relation to transfers and reporting of such data and your transactions to the authorities as the Company may deem appropriate or as may be required under any applicable laws, regulations, notices and guidelines.
  • You agree that you will cooperate in relation to any anti-money laundering and countering terrorism financing screening that is required and to assist the Company in complying with any applicable laws, regulations, notices and guidelines in place.

Section J – EZ Services Terms of Service

General Provisions
  1. Eazy Life App via EZ Services allows you to book appointments for services made available on the Platform. These services include (but not limited to):

 

  • Healthcare and doctors’ appointment booking
  • Car service and repairing 
  • Private lessons 
  • Sports and other related activities 
  • Beauty & Wellness 
  • Home maintenance and repairing
  • Home services and cleaning 
  • Services for Pets
  • Adventure tours 
  • Photography sessions
  • Events services 

 

  1. EZ Services aims to match professional service providers (“Service Providers”) and customers. While customers hire Service Providers by booking appointments, all Service Providers are also contracting us to display and promote their profile and services, and help managing their agendas and bookings. 

 

  1. Service Providers are professional companies or individuals, and directly liable for their working rights and taxes liabilities. H&I Technology DMCC, owner of the Eazy Life trademark and Apps, acts as an intermediator between the service providers and customers, and fulfil its legal and taxes obligations applicable to its services intermediation services fees, bearing no responsibility nor being direct or indirect liable for the rendered services, which are solely selected and contracted at the discretion of the service providers and customers to contract and execute services, who bear responsibility for any occurrences and events associated to the services.

 

  1. IMPORTANT NOTE FOR USE OF HEALTHCARE SERVICES: EZ Services shall not be used for any situation where an emergency is needed. Customers are advised to call the relevant authorities for urgent issues as EZ Services for its healthcare component must be used only for simple consultations and not for emergency purposes. All liabilities related to any medical procedure including but not limited to administration, testing, reporting, analysis, diagnosis lie with the authorised healthcare service provider administering the healthcare service and are governed by the policies of the local, regional or national regulatory health authorities. Furthermore, H&I Technology DMCC, , owner of the Eazy Life trademark and Apps, does not store any personal health care data and all such data is handled only by the regulator authorized medical health services providers. All other data is handled in line with our Privacy Policy. 

 

  1. EZ Services is an e-marketplace for various services performed by third-party service providers that are registered with the relevant service licensing or when required egulatory authorities. 

 

  1. We simply provide the platform that connects customers (such as you) with Service Providers and allows them to be introduced. We do not, ourselves, provide any services listed on Eazy Life as being provided by Service Providers and any contract for the provision of those services is between you and the relevant Service Provider (and not us). It is up to the relevant Service Provider to perform any services you request through Eazy Life App and you agree to comply with any terms of service that apply between you and the relevant Service Provider.
  2. We do not employ Service Providers and, unless otherwise specified in these terms of use, we are not responsible for (and make no representations, warranties or guarantees as to) the behaviour, acts or omissions of any Service Providers you engage through Eazy Life App, or the quality, direct and indirect damages associated or a consequence of the services they provide.
  3. If you have a complaint in relation to the services provided by a Service Provider, that complaint must be taken up with the Service Provider directly. If you are unable to resolve a dispute with a Service Provider or you cannot come to an agreement with a Service Provider, please contact us and we will use our reasonable endeavours to try to resolve the dispute.
  4. We do take reasonable measures to ensure the suitability and quality of the Service Providers, including, without limitation, conducting interviews, obtaining proof of identity and address and obtaining references. However, you acknowledge that, in carrying out any checks, covering personal identity and professional qualification, as well as working rights and fiscal compliance, we may be reliant on information supplied by third parties and we cannot guarantee that such information is accurate. We also cannot guarantee that any particular Service Provider is suitable for your purposes and you use Service Providers at your own risk, although we may remove a Service Provider from Eazy Life on the basis of any feedback you or other users provide in relation to that Service Provider if we deem it appropriate, but are under no obligation to do so.
Booking process and cancellation

1.Bookings can be made on a advance Scheduled option with the desired frequency, dates and number of service hours as you may find needed. If you need to reschedule any bookings during this period, this will be accepted within a minimum of 48 hours before any particular date of advance booked services. Booking of services to be completed in the following 4 hours or less cannot be rescheduled.

  1. If you request the services of a Service Provider, we will notify you when a Service Provider has accepted your request and confirmed the booking.
  2. If you decide to cancel a booking (whether for a one-off or on a repeat basis), you may do so via the the Apps, subject in each case to the following conditions: (i) if a Service Provider has not yet confirmed the booking, you may cancel it without charge; (ii) if you decide to cancel (instead of rescheduling), you waive your rights to the amount of the Full Payment made. If you have made a Partial Payment, we reserve the right to charge the full value of the remaining booking to your registered credit or debit card. Cancellations direct with the relevant Service Provider are not permitted and will not be accepted.
  3. If a booking is cancelled by the Service Provider or if the Service Provider fails to attend the agreed location to provide the services requested or complete the services, and you exhausted all amicable settlement discussions with the Service Provider, you must notify us within 72 hours following the scheduled start time of the booking under your profile section of Eazy Life App. 
Your Appointment/Booking
  1. By making an appointment you give the Service Provider express consent to provide the Service to you in your select place and chosen method and time slot.
  2. You may book an appointment with the Service Provider via the Eazy Life App and the appointment will occur in-person (at your selected place or the Service Provider’s place), via phone or video conference. Appointment slots are made available at our discretion in each 24 hour period but will typically be offered during the working hours of the Service Provider. You can access the appointment booking system to book an appointment, 24 hours per day, 365 days a year.
  3. When booking your appointment, you will be required sometimes to provide details of and answer specific questions. All appointment times are displayed in accordance with your selected appointment time-zone, so you do not need to calculate the time-zone time difference. It is your responsibility to ensure that you select a location and time-zone that will match your location at the time of the appointment.
  4. When booking your appointment, you will be matched with your selected Service Provider and in some cases, when available, with a specific staff of the Service Provider. We cannot guarantee the availability of the selected Staff and will not be liable if any staff selected by you is unavailable at any time.
  5. For a smooth delivery of the service booked by phone or video, it is your responsibility to ensure that all measures and adequate technical tools are in your hands to conduct such type of service delivery. For such services delivered by phone or video, you must avoid being in inappropriate locations (such as noisy or not guaranteeing privacy). 
  6. You can upload images and/or documents in connection with an appointment, to provide the relevant Service Provider with additional information regarding your specific request of services.
  7. Appointments are automatically accepted as we try to ensure that Service Providers keep their calendar always updated; however, we shall not be liable if the appointment is not honored, and you should resolve the issue directly with the Service Provider. Appointments are confirmed on the Eazy Life App, and we will send an email confirming the appointment details to your registered email address.
  8. To ensure your safety and better service, Service Providers will review the details you provided about your request, and at their discretion and as required, contact you for example to:
  9. ask for more information, pictures or evidence; 
  10. ask for you to switch from a telephone to a video appointment;
  11. assess you for a potential emergency and direct you to an emergency service as needed.
  12. It is your responsibility to be available to speak to the Service Provider by your chosen method, at the time of the appointment, if such chosen method is telephone or video and for:
  13. video appointments, it is your responsibility to ensure you are signed in to the waiting room prior to your appointment, you  have good internet connection, following the instructions to test both video and voice are functioning. You will receive a notification inviting you to join your appointment when the Medical;
  14. video appointments which experience technical difficulties, the Service Provider will attempt to contact you on the nominated telephone number on your account to find an appropriate solution;
  15. telephone appointments, the Service Provider will call you on your chosen number. It is your responsibility to ensure that the number you provide is correct and that if you are using a mobile phone you have adequate signal.
  16. For phone and video appointment, the Service Provider will perform an identity verification at the beginning of the appointment and reserves the right to deny any person access if they cannot confirm their identity, and in the case of an appointment for a child, the identity of that child in addition to their identity.
  17. During your appointment, your Service Provider may advise that a follow up appointment may be necessary, within a certain period. It is your responsibility to book the follow up appointment using Eazy Life App. 
  18. At the Service Providers’ discretion and as required, they may contact you by any of your contact methods, including email, phone, or text message as part of the service, prior, during and after the appointment.
  19. You can view the status of all your upcoming and past appointments within the Eazy Life App.
  20. If the service is to be completed at your place, you must ensure that all required safety is guaranteed. If you must supply or prepare products or items required by the Service Provider, you must ensure that those products or items are available and ready to be used. It is your responsibility to offer the Service Provider all the favorable conditions at your place for the smooth and timely completion of the services. You must ensure that access is granted at the time of the appointment booked and you’re available. 
  21. If the service is to be completed at the Service Provider’s address, you need to ensure that you arrive in time before the appointment time. For that, you need to ensure that you know the exact address of the Service Provider and consider any traffic or parking hurdles. 
Pricing and payment
  1. When completing the booking of a service with a Service Provider, you will be offered the possibility to select between the Partial Payment or the Full Payment of the total cost of the services (Tax and Fees included). The Partial Payment is a percentage of the total amount and shall be deducted by the Service Provider from your final invoice when you proceed with the direct payment to the Service Provider of the remaining amount. 

The Service Provider hereby undertakes irrevocably and unconditionally to deduct the Partial Payment from the final invoice. 

If you select to complete the Full Payment, you will then have to pay to the Service Provider only any additional services taken outside Eazy Life App. 

  1. We reserve the right to make changes to our pricing policy at any time, although we will notify you by all means at least one week before any such changes take effect. If you do not agree to any such changes, you should stop using EZ Services but you can still enjoy the other products of Eazy Life App.
  2. When you first request the services of a Service Provider, you will be asked to provide us with valid credit or debit card payment details to pay for the services you request through Eazy Life App. We will store your card details for such purpose and you agree that we may undertake authorisation checks on that card (including when you use Eazy Life App to request the services of a Service Provider).
  3. If you request the services of a Service Provider on a repeat basis with the Schedule option in the Apps, your payment will be executed also before the services are started but may be cancelled with a minimum of 48 (fourty eight) hours notice before the scheduled date and time.
Service Providers
  1. You agree to treat Service Providers courteously and lawfully and, if a service is to be provided at your location, to provide a safe and appropriate working environment for them in compliance with all applicable laws and regulations. You also agree to provide them with all reasonable information and co-operation required to enable them to provide the services you have requested.
  2. You acknowledge that your preferred agent of the Service Provider, if you have one, may be unavailable from time to time, whether due to illness or vacation.
  3. You agree, for so long as the agreement between you and us is in force and for a period of six months thereafter, not to book the services of, or engage, any Service Provider you have used, or whose contact details you have received from us, other than via Eazy Life App.
Intellectual Property Rights
  1. We are the owner or the licensee of all intellectual property rights in Eazy Life App and in the material published on it. You acknowledge that you have no rights in or to Eazy Life App or the technology used or supported by it other than the right to use it in accordance with these terms of use. If you use any part of Eazy Life App in breach of these terms of use, your right to use the app will cease immediately.
  2. You must not use any part of the content on the App for commercial purposes without obtaining a licence or other written consent to do so form us or our licensors.

3.“Eazy Life”, “EZ” and its graphics are registered trademarks of H&I Technology DMCC. We reserve all rights in these trade marks, the domain name and all related domains and sub-domains and any other logos, service marks, brand names, trading names and/or trade marks appearing anywhere on Eazy Life App and Website and nothing in these terms of use should be construed as granting any licence or right to use any of such trade marks or domain names.

  1. Other trademarks, products and company or brand names mentioned on Eazy Life may be the trademarks of their respective owners or licensors and all rights in such trademarks are reserved to their respective owners or licensors.
Your liability to us
  1. You acknowledge that Eazy Life App has not been developed to meet your individual requirements and that it is therefore your responsibility to ensure that the facilities and functions of Eazy Life App meet your requirements.
  2. Unless otherwise specified in these terms of use, we will only be liable to you for any loss or damage (whether in contract, tort (including negligence), breach of statutory duty or otherwise) arising under, or in connection with, your use of, or inability to use, Eazy Life App if such loss or damage is a foreseeable result of our breach of these terms of use or our negligence, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it is an obvious consequence of our breach of these terms of use or our negligence or if it was reasonably contemplated by you and us at the time of the agreement between us coming into effect as a possible result of such breach or negligence.
  3. If you are a business or an individual using Eazy Life App in a business capacity, please note that:
  • our maximum aggregate liability under, or in connection with, these terms of use is AED 1,000.
  • we will not be liable for: (i) loss of profits, sales, business or revenue; (ii) business interruption; (iii) loss of anticipated savings or interest; (iv) loss of business opportunity; (v) loss of or damage to data; (vi) loss of or damage to reputation or goodwill; or (vii) any indirect, special or consequential damages, loss, costs, claims or expenses of any kind; and
  • to the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to Eazy Life App or any content on it, whether express or implied.
  1. If you are a consumer, you may only use Eazy Life App for domestic and private use. You agree not to use the App for any commercial, business or resale purposes and, if you do, we have no liability to you for any loss of profit, loss of business, business interruption or loss of business opportunity.
  2. We will not under any circumstances be liable for:
  • the behaviour, acts or omissions of any Service Providers you engage through Eazy Life App or the quality of the services they provide; or
  • any loss or damage caused by any bug, virus, distributed denial-of-service attack or other technologically harmful material that may infect your information technology (including your Mobile Device), data or other proprietary material due to your use of Eazy Life App or your downloading of any content on it or on any website linked to it.

Section H – Table Booking - Terms of Service

These Table Booking Terns of Service apply to your access or use of the Table Booking function under EZ restaurants as provided by Eazy Life App and are to be read in conjunction with the Section A.

In these Terms of Service, “we” means the Eazy Life App, owned by H&I Technology DMCC, the company that is providing the table booking services to you. The term “you” means any user of the services..

Booking Services

We make available restaurant booking services (the “Booking Services”) through Eazy Life App for the purpose of assisting you in securing dining reservations at participating third-party restaurants (each, a “Restaurant”). Once a reservation is made by you through the App, we will provide confirmation of the reservation on the App and by email.

Reschedule a Booking

We are committed to providing superior quality services to users and Restaurants. To assist us in maintaining a consistently high level of service for the Restaurants, Users must reschedule any reservations that they will be unable to honor at least 2 hours in advance of the reservation. You may reschedule your reservation by calling the Restaurant directly.

Booking Fee

As part our commitment to the highest standards of services, you will be required to pay a booking fee during the booking process. The Booking Fee is variable based on the Restaurant and the Party Size i.e., number of persons for the table. If you honor your booking, the Booking Fee is deducted from your final invoice by the Restaurant. When you reschedule and you honor your new booking, the Restaurant will deduct the Booking Fee from your final invoice. If you cancel, do not reschedule 2 hours before the booking or don’t show, your Booking Fee is forfeited and can’t be refunded or included in any future booking.

Usage Guidelines

User agrees to use the Reservation Services only to book reservations at Restaurants and then honor those reservations by arriving at the Restaurants on time and ordering and paying for meals. User further agrees not to book more than one reservation for User’s personal use during any one meal time (e.g., lunch, dinner, etc.). 

You should also follow the restrictions/guidelines imposed by the Restaurant such as dress code, presence of pets, parking, age, alcohol restrictions, means of payment, etc.

It is your responsibility to arrive in time to the Restaurant as any late arrival may lead to cancellation of the booking freeing the table for other users. It is therefore recommended to consider traffic and parking issues when driving to the Restaurant’s address.

Payment

You can pay using the means of payment offered by Eazy Life App being Credit/Debit Card, and/or Eazy Points and/or using your Eazy Wallet.
